Management duties: the organization's parent organization, meadville medical center (mmc), provides management duties to the organization. The organization pays a management fee as part of a contract with mmc, as shown in form 990, part ix, line 11a.

Form 990, Part VI, Section A, Line 4

Significant changes to governing documents: the following significant changes were made to the entity's governing documents during the fiscal year. Article 5, section 5.1 the board shall consist of twelve (12) to fifteen (15) voting directors. Article 5, section 5.5(c) quorum; voting. At all meetings of the board, the presence of a minimum of five (5) members of the board of directors at the beginning of a meeting shall constitute a quorum for the transaction of all business considered at that meeting, even if the quorum is lost at a later point in the meeting.

Members: the organization's parent organization, meadville medical center (mmc) is the sole member of the organization. Mmc shall have the power to take the following actions with respect to pcs: (a) nominate and elect all of the officers and directors and remove at any time, with or without cause, any and/or all such officers and directors (b) approve or disapprove any change in the number of directors; (c) approve or disapprove all operating and capital budgets and amendments thereto; (d) approve or disapprove all transactions not in the ordinary course of business and all expenditures in excess of thresholds determined by resolution of the board of directors of mmc; (e) approve or disapprove all amendments to articles of incorporation and/or bylaws; (f) direct the corporation to make changes in its articles of incorporation and/or bylaws and in the absence of such action by the corporation, amend the corporation's articles of incorporation and/or bylaws on its own motion; (g) approve or disapprove all long range plans; (h) approve or disapprove all financing and indebtedness for which the obligation to repay exceeds (i) a term of twelve (12) months or (ii) an aggregate dollar threshold set by mmc board from time to time: and (i) exercise whatever other powers or perform such other tasks as are reserved to or required of mmc by virtue of any other provisions of these bylaws or mmc's bylaws or by board resolutions enacted by pcs or mmc from time to time.

Form 990 review process: the form 990 is prepared by an independent accounting firm based on the audited financial statements and information provided by the accounting department of the organization. The 990 is initially internally reviewed in-depth by the cfo and controller of meadville medical center. After this review, it is presented by the cfo and controller to the board of directors at the monthly board meeting, providing opportunities for questions, comments, or changes before the final form 990 is filed.

Monitoring compliance with conflict of interest policy: the organization has an annual conflict of interest disclosure statement. Any actual or potential conflicts are evaluated and deemed to either make the interested person disqualified or ineligible to serve. Throughout the year, each affected person is also obligated to file a supplementary disclosure statement if there is a change in circumstances which could create conflict. Determination of actual conflict will be conducted by the board of directors. Any director, officer or disqualified person who is deemed by the board to be disqualified because of an actual or apparent conflict of interest on any matter (i) shall not vote or use his or her personal influence on the matter, (ii) shall abstain from voting (although upon invitation of the chairman, he or she may participate in board discussions) and (iii) shall not be counted in determining the quorum for the meeting, even when permitted by law. The minutes of the meeting shall reflect that a disclosure was made, the abstention from voting, and the effect on the quorum. An individual who has a relationship with an entity that in the board's view makes it difficult or impossible for that individual or any of the remaining directors to discharge his or her responsibilities may be declared ineligible to serve and shall either resign or may be removed by a majority vote of all remaining directors in office.

Form 990, Part VI, Section B, Lines 15A & 15B

Compensation determination: the compensation committee of the board of directors of meadville medical center (mmc), which is comprised of independent board members determined to be free of any conflict of interest, is charged with determining executive compensation and establishing performance criteria according to an approved compensation philosophy. The committee works with an independent executive compensation consulting and advisory firm, mercer, that provides market survey data concerning compensation and benefit levels for functionally comparable healthcare executives in similar hospitals across the region and the nation based on several factors including size, geography, hospital type and complexity. The committee reviews and approves the compensation of the senior executives and ensures that all forms of executive compensation are reasonable, appropriate and consistent with its compensation philosophy. The committee contemporaneously documents its decisions in meeting minutes and reports its decisions to the full board of directors. The most recent compensation review was completed in june 2019.

Renato suntay and philip pandolph are compensated for their roles as officers of meadvile medical center. Related organization compensation: christian miles was terminated in march 2018. Program service activities: the liberty surgical care unit is dedicated to the perioperative care of patients having surgical procedures performed at the liberty street facility. Perioperative care is provided to patients ranging in ages from pediatric to geriatric, with all types of surgical needs. All categories of surgical patients are admitted to this unit. Those with an anticipated same day discharge are returned to this unit after surgery and/or pacu care, to be observed and discharged. Those patients requiring admission to the hospital are admitted to an inpatient bed following their surgery and pacu stay. The unit is staffed by acls certified rns, lpns, clerical and support staff. All direct patient care staff are bls certified.

Program service activities: french creek urology is a dual physician staffed, hospital-employed practice providing a full scope of general urology services. The practice offers minimally invasive surgery procedures and is dedicated to the latest in urological procedures. The practice itself uses the latest in cutting-edge technology and urological equipment, including video cystoscopy and urodynamics lab. The urologist is board-certified and able to provide services to this community that, in the past were only offered at larger regional medical centers. Today, the staff of french creek urology is offering state-of-the-art technology at meadville medical center's new surgery center at grove. Over 60 percent of surgeries are done on an outpatient basis. Outpatient surgery remains a convenient, cost-saving alternative to hospital admission for patients undergoing certain procedures. These patients are provided with quality care and safety, plus the availability of complete hospital facilities and services if needed. In recent years the trend has been to use minimally invasive surgery which helps patients to recover much faster, suffer less pain and return to work quicker. French creek urology is housed in the same facility as the surgery center at grove. The staff takes full advantage of the outpatient resources available for its patients. The french creek urology practice is located at 505 poplar street, suite #209, meadville, pa, 16335, (814) 373-2156.

Program service activities: the team at cardiology associates of meadville is made of highly-qualified cardiologists, specially-trained nurses and truly supportive support staff. They will address all questions and concerns, and outline all treatment options. The staff also provides patients and families with educational material to help to make lifestyle changes that improve heart health. If a patient requires an interventional procedure, such as a cardiac catheterization or an electrophysiology study, this will be explained and performed in meadville medical center's own cardiac catheterization lab. The practice works closely with the cardiac care department at meadville medical center for cardiac rehabilitation and lifestyle counseling, if necessary. Of course, follow-up care with the cardiologist and primary care physician is part of the complete treatment plan. The meadville cardiology associates offer an extensive array of services for cardiology patients, including: -arrhythmia management -cardiac catheterization -cardiovascular risk management -cholesterol management program -congestive heart failure management -coronary angioplasty and stenting -defibrillator follow-up -echocardiography -inpatient and outpatient consultation -nuclear cardiology -pacemaker follow-up -peripheral arterial disease -stress testing -trans-esophageal echocardiography -vascular testing the location of the practice is at 765 liberty street, suite # 105.
