Governance Explanations

Form 990, Part VI, Section A, Line 6

The members of the corporation shall be limited to those individuals who constitute the administrative board of st. Paul's united methodist church of allison park, pennsylvania. Members ceasing to hold a position on the administrative board shall cease to be a member of this corporation. The duly elected chair of the administrative board shall serve as chairperson of the membership.

The members of nhco are limited to those individuals who constitute the church council of st. Paul's united methodist church of allison park, pa. They have reserved the powers to elect and remove nhco's board of directors.

The church council of st. Paul's united methodist church of allison park has additional reserve powers which include: to determine or change the philosophy and mission of nhco, to approve the incurring of debt by nhco, and to terminate, consolidate, merge, affiliate, reorganize, separate, or in any way modify or effectuate a significant structural change of nhco.

The 990 is reviewed and approved by the finance committee and executive committee and then presented to the full board at one of its regularly scheduled meetings.

Board members annually provide a written, signed statement disclosing any conflicts of interest(s), in compliance with nhco's board ethics policy. The written, signed statements are compiled and kept on file.

In accordance with the written policy for determining executive compensation, the board president distributes a copy of the performance contribution form for the position of executive director to each member of the executive committee for completion. Each member returns the completed form to the board president. The board president completes the performance contribution form, distilling and aggregating the feedback from the executive committee. The executive director also completes the form for a "self evaluation". The board president meets with the executive director and reviews performance in detail. The executive committee reviews the regional compensation benchmarking as deemed necessary and recommends the salary of the executive director for board approval. Senior staff salaries are set by the executive director. In accordance with the written policy for staff performance contribution review, the employee completes a written "performance contribution" (self evaluation). This is reviewed by the executive director who provides a written response. To set the specific employee's compensation within the range, years of service, years in the position, education, and performance are considered.

Form 990, Part XII - Additional Information

Filing requirement: north hills community outreach holds its 501(c)(3) status under the group ruling of the general council on the finance and administration of the united methodist church and is an integral part of that body. We are on the irs listing of organizations not required to file a form 990. However, we have chosen to file in the interest of transparency. By filing we do not intend to waive our right not to file in future years, nor do we waive any and all other rights due to the organization by virtue of our status under the united methodist church group ruling.

Financial Statement Notes

PART V, LINE 4:

Investment income and board designated principal may be used to fund nhco's operations. Any permanent endowment may not be withdrawn.

PART X, LINE 2:

Financial accounting standards board accounting standards codification on income taxes clarifies recognition, measurement, presentation, and disclosure relating to uncertain tax positions. The organization evaluates uncertain tax positions for recognition by determining whether evidence indicates it is more likely than not that a position will be sustained if examined by taxing authorities. As of june 30, 2025 and 2024, the organization is not aware of any uncertain tax positions. The organization's federal tax returns for tax years 2022 and beyond remain subject to examination by the internal revenue service.
