Wrc senior services provides choices for generations. Built on a not-for-profit foundation of caring, the organization offers residential and personal care, home and community-based services, skilled and rehabilitative health care.

Wrc senior services provides management services to non-profit organizations within the wrc organizational family.

Governance Explanations

Form 990, Part VI, Section A, Line 4

Significant changes to governing documents: wrc senior services amended its bylaws when the organization merged with penn highlands healthcare (phh). The significant changes made to the bylaws include the following: - article i: general provisions were added and include the updated name of wrc senior services to wrc senior services d/b/a penn highlands wrc, a subsidiary of dubois regional medical center d/b/a penn highlands dubois. - article ii: sole/member reserved powers were added and includes certain powers reserved for the sole member, penn highlands healthcare. These powers are specified in article ii, section 2.1(b) of the penn highlands healthcare bylaws. - article iii: the authority of the board of directors of wrc senior services is subject to the powers reserved to penn highlands healthcare. This includes the approval, or termination, of directors on the board. - article iv: the audit committee of the wrc senior services was removed. This will be a function of the penn highlands healthcare audit committee.

Members: the sole member of wrc senior services is penn highlands healthcare and penn highlands dubois, and penn highlands dubois shall have certian reserved powers with respect to this corporation, including the approval of the election and removal of officers and directors and approval of any and all amendments to the bylaws or other organization/governance documents. Penn highlands dubois is responsible for developing, implementing, and overseeing compliance with the board orientation process.

Form 990 review process: the form 990 is prepared by an independent accounting firm based on the audited financial statements and information provided by the accounting department of the organization. The return is completed in draft form and reviewed by management of the organization. The form 990 is then provided to the board of directors for review before it is filed.
