“Ihp shall obtain the approval of irmc before action on any of the following matters becomes final and effective for ihp: (1) amendment of the articles of incorporation and bylaws; (2) the sale, lease or exchange of all or substantially all of the property or assets of ihp; (3) merger or consolidation with any other corporation; (4) dissolution of ihp; (5) approval of an annual budget for ihp; (6) any transfer of funds by grant, gift, or loan from ihp; (7) voting any membership or shareholder interest held by ihp in any other corporation; (8) any other matter that by law would require the approval of members of a nonprofit corporation.”
“The form 990 is prepared by an independent accounting firm based on the audited financial statements and information provided by the accounting department of the organization. Prior to filing, a draft of the 990 will be reviewed by top management and will be discussed at a meeting of the finance committee of the board of directors.
