The conflict of interest committee of the upmc board of directors has the ultimate responsibility for policy implementation, compliance monitoring, and enforcement. The committee may delegate responsibilities to the clo, cco, and such other staff as it is deemed appropriate. The committee will also from time to time adopt changes to this policy, and adopt procedures and guidelines that supplement and are consistent with those set forth in or required by this policy and related policies.

The foundation accounts for uncertainty in income taxes using a recognition threshold of more-likely-than-not to be sustained upon examination by the appropriate taxing authority. Measurement of the tax uncertainty occurs if the recognition threshold is met. Management determined there were no tax uncertainties that met the recognition threshold in 2013 and 2012. Further, the foundation annually files a form 990. The forms filed are subject to examination by the internal revenue service generally for three years after they are filed.
