Article iii, section 3.6 of the bylaws of the organization indicate that the president and chief executive officer of home nursing agency affiliates shall serve as the president and ceo of the corporation. Because this section of the bylaws also permits the president and the ceo to appoint executive staff from home nursing agency affiliates to perform certain aspects of management functions, the chief financial officer and the chief people officer of home nursing agency affiliates controlled management duties of the organization.

Effective january 1, 2014 the organization's board of directors amended and restated the bylaws to reflect the structural change of the organization's parent corporation, home nursing agency affiliates. The sole member of the parent corporation transfered from upmc altoona, formally altoona regional health system, to upmc community provider services.

Article ii, section 2.3,(b) of the organization's bylaws permits the home nursing agency affiliates to elect or refuse to elect each person nominated by the nominating committee. These elections are subject to the approval of upmc community provider services.

Article ii, section 2.2,(a) of the organization's bylaws requires that the following actions that have been approved by the board also have the affirmative approval of the home nursing agency affiliates: any strategic plans and any operating and capital budgets of the corporation and each subsidiary of the corporation; amendments to articles or these bylaws or amendments to the articles or bylaws of each subsidiary of the corporation (apart from changes of registered office); merger (unless the merger results in the corporation or the respective subsidiary, as applicable, being the surviving entity and the transaction is less than 1,000,000), consolidation, dissolution and sale of substantial assets of the corporation or any subsidiary of the corporation; incurrence of indebtedness by the corporation or any subsidiary of the corporation (other than trade and/or accounts payable arising in the ordinary course of business) above thresholds to be determined by the home nursing agency affiliates and not apart of an approval capital and/or operating budget; the establishment, termination or withdrawal from joint ventures involving the corporation (or any subsidiary of the corporation) in which the corporation or any subsidiary of the corporation, as applicable, has a controlling interest; and the election or appointment of the president or chief executive officer of the corporation and each subsidiary of the corporation. Article ii, section 2.2,(b) of the organization's bylaws also gives the home nursing agency affiliates the following powers with respect to the corporation: election of the directors of the corporation (apart from ex-officio directors); approval of any plan of division of the corporation; approval of any plan of merger of the corporation with another corporation (whether or not the corporation is the surviving entity); and all other approvals and/or actions as are reserved to home nursing agency affiliates by virtue of these bylaws or by virtue of any resolutions enacted by the corporation.

Form 990, part iii, line 4, exempt purpose achievement narrative uncompensated care to hna cs clients is determined as the difference between home nursing agency's cost to provide the service, on a per unit or per visit basis, and the reimbursement that home nursing agency receives from governmental payers or from self-pay clients, including services provided at no charge due to client's financial hardship. These amounts are recorded as a reduction in net patient service revenue in the financial statements. Patients are required to apply for the charity care discount, but often do not complete the necessary paperwork to determine if they qualify. As a result, there is an unquantifiable amount of uncompensated services that would potentially be considered charity care under the policy, but rather are ultimately reflected in bad debt expense. In addition to uncompensated care, home nursing agency provides free and below-cost services and programs for the benefit of the community. The cost of these programs is included in salaries, and wages, fringe benefits, professional fees, supplies, and other expense lines in the financial statements.

Home nursing agency strives to maintain or improve the quality of life for individuals, 18 years of age or older, who have physical limitations, memory loss, or who have difficulty remaining safe at home alone during the day. The adult day program also yields a significant benefit to caregivers who will have some time to tend to their own personal needs while their loved one is in the care of the hna cs's adult day staff. In most instances, transportation is also arranged. Improving the health and functioning of every adult day participant is the number one goal at hna cs, and a personalized plan of care is developed for each participant. The medical, social, and nutritional needs of each participant are met every day or as needed. Often, a client's memory and mobility are improved and they enjoy improved rest in the evenings - all significant benefits to the caregiver as well. Caregivers need breaks and adult day centers provide support and relief. Services include the following: safe environment personal care medication management socialization nutritious meals monitoring of ongoing medical conditions. 2013 -14 accomplishments of adult day services: 100% compliance from pa department of health/welfare: - ebensburg adult day services statement of usage of support funding from home nursing agency foundation: adult day services - to provide additional days of support to help families successfully manage the caring of a loved one who is living at home and is unable to independently perform self-care activities or function alone safely. Adult day services can prevent or delay institionalization through medical monitoring, social and recreational activities and personal care. Adult day services - to support the southern alleghenies museum of art (sama) artists-in- residence program that provides adult day services individuals with art experiences, i.e. Painting, dancing, and storytelling to improve thier quality of life.

THE ADULT DAY CARE FUNCTION DID RECEIVE 23,687 OF CONTRIBUTIONS, GIFTS, AND/OR GRANTS IN THE YEAR ENDED JUNE 30, 2014, REPORTED IN LINE 1 OF PART VIII, BUT NOT INCLUDED IN THE REVENUE TOTAL ABOVE, PER PART III INSTRUCTIONS. SEE SCHEDULE O FOR DESCRIPTION OF METHODOLOGY TO COMPUTE UNCOMPENSATED CARE. HOME NURSING AGENCY STRIVES TO MAINTAIN OR IMPROVE THE QUALITY OF LIFE FOR INDIVIDUALS, 18 YEARS OF AGE OR OLDER, WHO HAVE PHYSICAL LIMITATIONS, MEMORY LOSS, OR WHO HAVE DIFFICULTY REMAINING SAFE AT HOME ALONE DURING THE DAY. THE ADULT DAY PROGRAM ALSO YIELDS A SIGNIFICANT BENEFIT TO CAREGIVERS WHO WILL HAVE SOME TIME TO TEND TO THEIR OWN PERSONAL NEEDS WHILE THEIR LOVED ONE IS IN THE CARE OF THE HNA CS'S ADULT DAY STAFF. IN MOST INSTANCES, TRANSPORTATION IS ALSO ARRANGED. IMPROVING THE HEALTH AND FUNCTIONING OF EVERY ADULT DAY PARTICIPANT IS THE NUMBER ONE GOAL AT HNA CS, AND A PERSONALIZED PLAN OF CARE IS DEVELOPED FOR EACH PARTICIPANT. THE MEDICAL, SOCIAL, AND NUTRITIONAL NEEDS OF EACH PARTICIPANT ARE MET EVERY DAY OR AS NEEDED. OFTEN, A CLIENT'S MEMORY AND MOBILITY ARE IMPROVED AND THEY ENJOY IMPROVED REST IN THE EVENINGS - ALL SIGNIFICANT BENEFITS TO THE CAREGIVER AS WELL.
