Mon valley community health services bylaw updates adopted january 19, 2023 -section 1.02(e) was changed to align with current non-discrimination policy. -section 2.02(a) was removed which provided the reserved power of the membership to amend the articles of incorporation or by laws of the corporation. -section 2.02(a) was replaced with the reserved power of the membership to approve the annual capital and/or operating budget of the corporation. -section 2.02(c) removed the reserved power of the membership to approve any action in excess of 100,000.00 to borrow money, guarantee debt, or act as surety. -section 2.02(d) was added to include as a reserved power of the membership, approval of the expenditure of funds in excess of the capital and/or operating budget. -section 2.02(e) was added as a reserved power of the membership, to approve the dissolution of the corporation. -changes were made throughout to allow for electronic notice. -changes were made throughout to allow virtual and telephonic meeting attendance and voting of board members. -section 3.03 was changed to outline the quorum provisions for the annual meeting to elect members. -section 3.04 was changed to clarify requirement of in person voting except at the annual meeting for election of directors which may be made by proxy. -section 3.05(a)(2) was added to require the presentation and approval of the minutes of the previous annual meeting and special meetings to be included on the agenda for the annual meeting. -section 4.04 was changed to clarify the process of the election of directors at the annual meeting. -section 5.04 was changed to allow for the following: oremove term limits of two years for officers; oallow the board to appoint offices and agents as necessary; oremove authorization of the board to employ and evaluate an executive director of the corporation. -section 5.08 was changed to update the duties of the executive director. -section 6.02 was changed to require a final vote of the board on motions of the committee. -section 8.02 was changed to require the approval of audits by the membership. -section 9.03 was changed to require directors to execute conflict of interest declaration and confidentiality agreement. This provision was removed from section 9.02. -section 11.01 was changed to require a two-thirds vote of the membership for dissolution of the company rather than a majority. -section 12.01 was changed to require a two-thirds vote of the membership for amendments to the by-laws.
