Governance Explanations

Form 990, Part VI, Section A, Line 6

The northwestern pa chapter of the ntma has the following classes of membership. Regular members. Any proprietorship, partnership, corporation, or other business entity located in the united states of america accepting the ntma's mission, vision, and values and is engaged primarily in precision custom manufacturing, through tooling or machining, shall be eligible to become a regular member provided that such individual, firm, corporation, or business entity is a member in good standing with the ntma. For the purposes of this paragraph, "precision custom manufacturing" is defined to include companies engage in: additive machining/manufacturing, design, die building/production, mold building/production, precision machining, special tooling/production, special machine building/production, precision fabricating, rapid prototyping, design, or such other activities as approved by the board of trustees of the ntma. Past service members. Any individual who by virtue of outstanding service or accomplishment has rendered valuable aid to the industry, may at the discretion of the board of directors be made a past service member. This includes any former owner, officer, employee, or widow/widower of any former owner, officer, or employee not active in the management of a member company or of a former member company shall be eligible to become a past service member of this chapter, provided that the company was a member of the chapter in good standing for at least three years and still was a member of the chapter in good standing at the time of retirement from the company, or the company's withdrawal from the industry. Such eligibility shall remain in effect up to or until such individual is employed in a member company or a company eligible for membership in the chapter. Notwithstanding the above, all past presidents of the board of directors shall be eligible for the past service membership category. Past service members may serve on committees of the chapter, and may attend meetings and serve on committees, but may not vote or hold office. Associate members. Any individual or entity which is interested in the purposes of the chapter but which is not qualified for regular member status. No person, firm, or corporation who is eligible for membership as a regular member shall be eligible for associate membership. As of january 1, 2016, there are 2 levels of associate members: manufacturing partners and professional partners. Manufacturing partners are businesses that manufacture and/or distribute products as majority of sales. Professional partners are support service industries relevant to manufacturing members and partners. Academic members. A) an individual student enrolled in metalworking and technological institutions such as colleges, universities, career and technical education programs, or formal online training programs is eligible as an academic member. B) an individual educator employed in metalworking and technological institutions such as high school or career and technical education programs is eligible as an academic member. Academic members are eligible to receive publications and services of the chapter, attend meetings, or participate on chapter teams as designated by the board of directors but may not vote or hold office. Reciprocal members. Reciprocal memberships may be extended to similar non-profit groups at the discretion of the board of directors. Members shall be entitled to attend meetings and participate on committees. Reciprocal members may not be entitled to vote on any business of the association.

Directors of the board are elected at the annual membership meeting. Officers are elected by the board of directors at a meeting following the annual membership meeting of a meeting called for that purpose.

Any action of the board of directors with respect to the amendment of the organization's bylaws is subject to change or repeal by the regular members. Dissolution of the association shall occur upon a two-thirds (2/3) affirmative vote of all regular members who shall be present and who shall vote at a special meeting held for that purpose on written notice stating the time, place and purpose.

The executive committee of the northwestern pa chapter of the ntma is responsible to coordinate an annual evaluation of key employees. With the annual evaluation, committee members look to local compensation studies and economic indicators for determining compensation. The executive committee is responsible to take compensation recommendations to the board of directors members and obtain a resolution of approval.

FOR THE PURPOSES OF THIS PARAGRAPH, "PRECISION CUSTOM MANUFACTURING" IS DEFINED TO INCLUDE COMPANIES ENGAGE IN: ADDITIVE MACHINING/MANUFACTURING, DESIGN, DIE BUILDING/PRODUCTION, MOLD BUILDING/PRODUCTION, PRECISION MACHINING, SPECIAL TOOLING/PRODUCTION, SPECIAL MACHINE BUILDING/PRODUCTION, PRECISION FABRICATING, RAPID PROTOTYPING, DESIGN, OR SUCH OTHER ACTIVITIES AS APPROVED BY THE BOARD OF TRUSTEES OF THE NTMA. PAST SERVICE MEMBERS. ANY INDIVIDUAL WHO BY VIRTUE OF OUTSTANDING SERVICE OR ACCOMPLISHMENT HAS RENDERED VALUABLE AID TO THE INDUSTRY, MAY AT THE DISCRETION OF THE BOARD OF DIRECTORS BE MADE A PAST SERVICE MEMBER.
