Governance Explanations

Form 990, Part VI, Section A, Line 4

The by-laws were revised to, among other matters, eliminate the language related to "members" and "membership rights" in order to reflect that dollar energy fund is changing its corporate organizational structure from a nonprofit corporation with "members" to a nonprofit corporation without "members" and, as a result of this change, the only governing body of the dollar energy fund would be its board of directors. Other revisions to the by-laws were made including changing the term of the office of a director so that the term would begin on the day when the director is elected to the board of directors. This would help "stagger" the terms of office of directors to mitigate situations that arise when the terms of office of several directors expire at the same time.

Form 990, Part VI, Section B, Line 11

The cfo will review the form 990 and will address any questions to the preparer. He will email a pdf copy of the form 990 to all the board members. The board members are required to review the form 990 and provide any changes or questions by a set deadline. Once all questions are addressed, the form 990 is finalized.

Form 990, Part VI, Section B, Line 12C

The chief executive officer and the board are sufficiently involved in the day-to-day operations and maintain the knowledge to identify and address any conflicts of interest that may arise.

Form 990, Part VI, Section B, Line 15

Compensation for management and key employees is set by the board of directors. Wages are based on comparability data such as compensation levels paid by similar organizations and the availability of similar services in the area of pittsburgh.

Form 990, Part VI, Section C, Line 19

Governing documents, policies, form 990, and financial statements are all discussed and available upon request at the bi-monthly board meetings of def, which are open to the public, or whenever an individual requests the information on site. The form 990 is available on the dollar energy fund's website.
