“The voting members of the board shall be elected at the annual meeting of the associates. Each director shall hold office for a term of three years and until a successor is duly elected and qualified or until his/her death, resignation or removal. The board may appoint an individual to serve a three-year term for any open position or may appoint an individual to serve the remainder of a vacated position. Directors may serve an unlimited number of terms. The terms of all elected directors shall remain staggered in approximately equal groups so that one group is elected each year. A director may resign at any time by giving written notice to the board. Any director may be removed for misconduct or for failure/inability to fulfill the duties of the office by a resolution approved by a two-thirds vote of directors present at a properly called meeting of the board of directors.”
