Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by an outside accounting firm. It is then reviewed by the director of finance and is submitted to the board prior to filing.

Form 990, Part VI, Section B, Line 12C

All staff, board members and other key stakeholders, upon commencement of their relationship with pca&m are given a copy of the policy for review and completion. They are asked to annually complete a disclosure form identifying any relationships, positions, or circumstances in which a conflict of interest may arise. Any information regarding business interests of a board and staff shall be treated as confidential and shall generally be made available only to the chair, the executive director, and any committee appointed to address conflicts of interest, except to the extent that additional disclosure is necessary in connection with the implemenation of the policy. Failure to sign the conflict of interest policy does not nullify the policy.

Form 990, Part VI, Section B, Line 15

The board president reviews the executive director annually. This review is reported during the executive session of the board, at which time salary is reviewed.

Form 990, Part VI, Section C, Line 19

The organization will consider making its governing documents, conflict of interest policy, and financial statements available to the public upon request.

Fiscal sponsorship is critical to arts funding in our community and at a national level.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0PCA&M OPERATES UNDER THE FISCAL SPONSORSHIP MODEL IN WHICH ARTISTS AND SMALL ARTIST GROUPS BECOME ARTIST/ACCESS MEMBERS OF THE ORGANIZATION IN ORDER TO APPLY FOR FUNDING FOR THEIR PROJECTS. BECAUSE FOUNDATIONS TYPICALLY CANNOT GRANT FUNDING TO INDIVIDUALS OR ANY ENTITY THAT IS NOT A 501(C)(3), FISCAL SPONSORSHIP IS AN IMPORTANT PART OF OUR ARTIST SERVICES PROGRAM. IN ADDITION TO THE PROVISION OF EQUIPMENT AND FACILITIES, PCA&M IS A RESOURCE FOR ARTISTS AND PROVIDES SERVICES TO ARTISTS INCLUDING FISCAL SPONSORSHIP AND PROFESSIONAL DEVELOPMENT OPPORTUNITIES. FISCAL SPONSORSHIP IS CRITICAL TO ARTS FUNDING IN OUR COMMUNITY AND AT A NATIONAL LEVEL.
IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt1THE ORGANIZATION IS EXEMPT FROM FEDERAL INCOME TAXES UNDER SECTION 501(C)(3) OF THE INTERNAL REVENUE CODE AND FURTHER IS CLASSIFIED AS AN ORGANIZATION WHICH IS NOT A PRIVATE FOUNDATION.
