Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee shall have and exercise the authority of the board of directors in the management of the business of the corporation between meetings of the board of directors.

Form 990, Part VI, Section A, Line 7A

The western pennsylvania conference of the united methodist church designates no more than two (2) representatives to serve as ex officio members to the board of directors. Ex officio directors shall be nominated by virtue of the offices they hold which are deemed to represent important constituencies served by the organization.

The draft form 990, 990-t and required schedules are reviewed by goodwill`s finance management team. Upon completion of this review, the forms are finalized and a complete copy of the returns is provided to, reviewed by, and approved by the board finance audit and risk committee. After this review a copy is provided to the full board for review.

Form 990, Part VI, Section B, Line 12C

The organization regularly and consistently monitors and enforces compliance with the conflict of interest policy as the policy is adopted as a part of its by-laws. The annual disclosure statement is distributed to all board members and is required to be completed and sent to the coo/chief compliance officer/sr. Vp. The coo/chief compliance officer/sr. Vp checks the active board member list to ensure all board members have returned the disclosure statement. The board governance committee enforces compliance with the policy. Any disqualifying conflicts of interest are disclosed to the board of directors prior to corporate action on the matter.

The organization uses an independent firm to provide information on salaries and fringe benefits for the president/ceo and top management officers and key employees. This report is reviewed by the executive committee of the board along with the president/ceo during an annual meeting. The committee decides the president/ceo's annual merit raises and discretionary bonuses based on the report and the goals and objectives established at the beginning of each year. The committee also reviews the same information for the top management officers and key employees and makes recommendations to the president/ceo on compensation, discretionary bonuses, and benefits.

The finance audit and risk management committee of the board of directors selects the independent accountant responsible for preparing and conducting the audited financial statements. The committee meets with the independent auditor prior to the start of the audit work. They meet again and review the draft audited financial statements along with the president/ceo, cfo and coo/chief compliance officer/sr. Vp. The finance audit and risk management committee approves the audited financial statements on behalf of the board of directors. This process has not changed from the prior year.

Financial Statement Notes

PART X, LINE 2:

Goodwill follows the provisions of the codification relating to accounting for uncertainty in income taxes. This prescribes a minimum recognition threshold and measurement methodology that a tax position taken or expected to be taken in a tax return is required to meet before being recognized in financial statements. Goodwill's consolidated statements of financial position at june 30, 2024 and 2023 do not include any liabilities associated with uncertain tax positions; further, goodwill has no unrecognized tax benefits. Goodwill accrues interest and penalties related to unrecognized tax benefits in income tax expense. Goodwill believes that it is no longer subject to examination of its tax returns for years prior to 2021.
