“The following process is used at Animal Friends to review and approve IRS form 990, the Return of Organization Exempt from Income Tax, prior to filing. Once the annual audit and external financial statements are complete, a rough draft of the form 990 is constructed. The Finance Committee of the Board of Directors meets to review and discuss the rough draft. Once approved, the Finance Committtee recommends the form 990 to the Board of Directors. The Board of Directors reviews and discusses the form 990 at a regularly scheduled meeting. The Board of Directors then votes to accept and file the form 990.”

“As part of their responsibilities, the Board Governance Committee oversees the following process to ensure that every disclosure statement is returned and filed with the organization. On an annual basis, all members of the Board of Directors are provided the Animal Friends conflict of interest policy and related procedures. They are required to complete the Conflict of Interest Disclosure Statement identifying their current employer, ownership of investment, board affliliation, and family members that have a direct or indirect business relationship with Animal Friends. It is the responsibility of each member to notify the organization if any change in status takes place throughout the year.”

“The compensation of the President & Chief Executive Officer of Animal Friends is determined by the compensation Committee of the Board of Directors. The Compensation Committee is comprised of the Chairs of the Executive and Board Governance Committees.”

“Animal Friends, Inc. makes all governing documents, conflict of interest policy, tax returns, and financial statements available for public viewing. Any person interested in this information can contact the organizations Chief Financial Officer (412-847-7011) in advance to make arrangements to view the information on site, or if appropriate, the information can be mailed or emailed to the individual for review.”

“The Finance Committee of the Board of Directors assumes the responsibility for oversight of the annual audit and external financial statements. The Finance Committee meets at least once a year to review the financial status of Animal Friends as well as meets with the independent auditors to review the audit and external financial statements. The audited financial statements are issued and provided to the Board of Directors. The financial statements are posted on our website, www.ThinkingOutsideTheCage.org, for a period of three years. In addition, the Finance Committee discusses the selection of the independent external auditors. The Finance Committee makes a recommendation to continue with the current auditors or to bid out the process to the Board of Directors who then vote on the final recommendation.”

“The compensation of department directors and staff is determined by the President & Chief Executive Officer. The overall raise percentages are discussed and approved as part of Animal Firends annual budget process. The budget is approved by the Board of Directors before implementation.”
