“The chamber has over 250 members. There are four classes of membership: representative business association, association, honorary, and other. Written membership applications are submitted to the chamber. The membership committee of the chamber reviews and provides a recommendation of approval or disapproval of applicants for membership to the president, the president than provides a recommendation of approval or disapproval to the executive committee who takes a vote for approval or disapproval and submits the application to the board of directors for approval or disapproval. The board of directors votes to approve or disapprove the applicants for membership.”

“Members of the chamber vote for the directors of the organization.”

“The form 990 is reviewed by the officers of the organization before it is filed.”

“Each member of the board of directors, committees, and staff must disclose in writing to the board of directors any possible conflict of interest. The disclosure must be updated annually. When such conflict of interest is relevant to a matter requiring action by the board of directors or its committees, the interested director or committee member shall bring it to the attention of the board. The interested director will not participate in any discussion or vote on such a matter and may be asked to retire from the room in which the board or committee is meeting.”

“The organization's governing documents, conflict of interest policy, and financial statements are available to the public upon request.”

“The organization's officers assume responsibility for oversight of its reviewed financial statements and selection of an independent accountant.”
