Governance Explanations

Form 990, Part VI, Line 15

The filing organization does not compensate its officers, directors, or trustees; instead, they are compensated by Saint Anthony Hospital, a related organization. All annual salary increases for the CEO and officers are reviewed and approved by the Compensation Committee of Saint Anthony Hospital and documented in minutes prepared for each meeting. Also, an independent market survey was conducted in August 2021 to ensure that the salaries of the CEO and officers were within standard market range.

The sole corporate member of Saint Anthony Hospital Foundation is Saint Anthony Hospital (the Member). The sole member of the Member is Saint Anthony Health Ministries (Parent).

Form 990, Part VI, Line 7A Members or stockholders electing members of governing body

The Directors will be elected annually by the Member at its annual meeting based upon the recommendation of the Board of Directors.

Form 990, Part VI, Line 7B Decisions requiring approval by members or stockholders

The following powers are reserved to the Canonical Directors of the Parent: a) Approving, amending, or repealing the Articles of Incorporation and Bylaws of the Foundation; b) Approving, interpreting, or changing any statement of mission, philosophy, role and purpose of the Foundation; c) Monitoring the application of the Ethical and Religious Directives for Health Care Services by the Foundation and, in the case of noncompliance, requiring the correction of any anomaly; d) Approving the sale, transfer, assignment, or encumbering of the assets, or substantial change in use of all or substantially all of the assets, or divestiture of the Foundation, subject to the approval of the Archbishop of Chicago if the disposition constitutes an alienation of the stable patrimony of the Foundation in excess of amounts determined by the Holy See from time to time; e) Approving the incurrence of indebtedness or the dissolution, merger or consolidation or change of corporate member of the Foundation in accordance with Canonical requirements; f) Reviewing and approving the submission of an annual report and external audit to the Archbishop of Chicago; g) Approving the formation or acquisition of any new entity subject to the control of the Parent or any entity for which the Parent or any subsidiary corporation, including the Foundation, is a controlling member. The following powers are reserved to the Board of Directors of the Member: a) Appointing, upon the recommendation of the Board of Directors of the Foundation, and removing with or without cause, the members of the Board of Directors of the Foundation; b) Approving the operating budget and capital plan for the Foundation; c) Ratifying the appointment and removal of the President of the Foundation; and d) Ratifying the appointment and removal of the Chair of the Foundation.

A thorough review of Form 990 is performed by management. A copy of the return is shared with the Board of Directors prior to filing Form 990 with the IRS.

Form 990, Part VI, Line 12C Conflict of interest policy

Annually, the Corporate Responsibility Officer has the Board fill out and sign the conflict of interest questionnaire. The Corporate Responsibility Officer reviews the completed conflict of interest questionnaires. If a conflict of interest arises, the affected Board member abstains from voting on the respective issue. The Corporate Responsibility Officer maintains all signed conflict of interest statements on file.

IRS990/Desc0Saint Anthony Hospital Foundation raises funds to support Saint Anthony Hospital's Community Development Department's Community Wellness programs as well as clinical areas of the hospital for which both capital and programmatic funds are raised. SAHF has raised funds for initiatives in departments including Radiology, Pediatrics, Mother-Baby, Emergency Department, Medical Stabilization Unit and others. Saint Anthony Hospital community-based services are directed by the Senior Vice President for Mission and Community Development. With an annual operating budget of nearly $2.5 million, Community Wellness provides services from infant care through adulthood, reaching multiple generations of community residents with dozens of free service offerings, screenings, social events, educational programs and assistance. Community-based staffing includes five therapists, four case managers, two health care access community resource educators, a care coordinator, fifteen community health workers, four supervisors, two managers, a project director, and three pastoral care workers. The goal of Community Wellness Programs is to support individuals and families who face the impacts of trauma, poverty, violence, language barriers, and limited health access in order to achieve an improved quality of life by offering free culturally-respectful services out of four community wellness centers and in various locations across communities. The Community Wellness Program provides free services that promotes health education, access to healthcare, case management, group support, and mental health support. Health Access: Community Wellness provides community services through insurance counseling, access to benefits for qualifying individuals, SNAP program assistance, and healthcare system navigation through the healthcare access program. Mental Health: Community Wellness provides Individual, family, and couples services for uninsured and underinsured community members. Case Management: Community Wellness provides accompaniment, system navigation, resource support, and referrals for services needed. Group Services: Community Wellness provides Adolescent and Parent Education, Adults and Children Together Against Violence, and psycho-educational groups for specific needs that are noticeable trends in the community, such as grief and loss. Health Education: Community Wellness provides health education around a variety of topics, such as how to talk to your doctor, diabetes education, and chronic illness. Nutrition classes are also available to provide education on a healthy lifestyle. Saint Anthony Hospital Community Wellness began offering these services over 20 years ago with a focus on families in Little Village. Since that time, the hospital has continued to expand the programming by opening a community wellness center in North Lawndale and offering programs in Brighton Park and Back of the Yards, allowing services to be provided in Saint Anthony's entire service area. All services are offered in English and Spanish with no cost to participants to provide a continuum of services for community members. The Community Wellness Program has a history of developing community-defined social services that fill in gaps in the community as well as fostering strong relationships with community organizations in order to impact the social needs of underserved communities. This wraparound model of comprehensive support provides residents with a greater chance for improved health outcomes. Additional programs supported by the Foundation include: Healthcare Access, case management, and community organizing.

The Corporate Responsibility Officer reviews the completed conflict of interest questionnaires. If a conflict of interest arises, the affected Board member abstains from voting on the respective issue. The Corporate Responsibility Officer maintains all signed conflict of interest statements on file.
