Governance Explanations

Form 990, Part VI, Section A, Line 6

Members are comprised of two types, a subcontractor member or an associate member. A subcontractor member is any person, partnership or corporation or other entity engaged in construction and who furnishes labor, or labor and materials used in the construction of projects, pursuant to contracts with persons or entities other than project owners. The term "labor" shall include shop labor for the manufacture or fabrication of specific materials to be installed in a particular construction project; or labor on a jobsite that is managed by the subcontractor. An associate member is any person, partnership or corporation or other entity engaged in construction who does not fit the definition of a subcontractor as listed above. Architects, engineering, general contracting, construction owners, and construction management are not eligible for membership.

Form 990, Part VI, Section A, Line 7A

Members elect the board of directors and the president. If during the year, a vacancy arises, the vacancy shall be filled by nomination of the president and approval by the board of directors.

Form 990, Part VI, Section B, Line 11B

At least two members of the financial review committee and the executive director shall review the association's form 990 prior to it being filed with the irs. Subsequent to filing, the executive director shall distribute a copy of the filed form and schedules to the board of directors.

Form 990, Part VI, Section B, Line 12C

If a potential conflict of interest arises at the board of directors level, the policy requires the president and the president-elect to be notified. The president and president-elect shall inform the board of directors when the potential conflict of interest rises to the level that warrants consideration by the board of directors. If the board of directors determines that a conflict exists, the director with the conflicting interest may be required to abstain from voting on matters related to the conflicting activity or association. Asa-hc staff reviews the conflict of interest policy each year, as part of the board's annual orientation. Furthermore, the board members sign the conflict of interest and board member agreement each year.

Form 990, Part VI, Section B, Line 15

The board of directors meet annually to review and adjust compensation, if appropriate, for the executive director. This deliberation and decision will be substantiated. If neccessary, the board of directors will use comparative data when determining compensation. The organization currently only has one employee, the executive director. If the organization were to hire additional employees it would follow the same policies already in place.

The executive director makes the association's form 990, form 1024 and determination letter available to the public, upon request, as required by law. All of the association's policies, including the conflict of interest policy, code of conduct, and whistleblower policies, are made available to the public on the association's web site.
