“The Executive Committee consists of not less than three directors chosen by the board from among its members, one of whom shall be the chair. During intervals between meetings of the Board of Directors, the Executive Committee shall possess and exercise all of the powers of the Board of Directors in the management and direction of the affairs of the corporation in all cases in which specific directions shall not have been given by the Board of Directors except that it may not take any action inconsistent with a prior act of the Board, alter the By-laws, dissolve or liquidate the corporation, sell all or substantially all of the corporation's assets, remove or appoint the Chair or President and CEO or Executive Director or take any other action which has been specifically reserved for the Board.”

“RESOLVE utilizes the services of a management firm, MCI USA ("MCI") to manage the organization on a day-to-day basis. Management fees represent amounts paid to MCI under the terms of an agreement for management services including all staff resources; delivery of RESOLVE's programs, services, events, and website; provides for office space, equipment, and other resources needed to manage the day-to-day operations. Management fees totaled $2,134,900 for the fiscal year ended June 30, 2024. RESOLVE's CEO is an employee of and was compensated by MCI.”

“Volunteers hosted 14 Do-It-Yourself Walks of Hope across the country, raising awareness and funds for RESOLVE. 16 runners were on RESOLVE's team for the New York City Marathon in Fall 2023 and raised $73,587 for RESOLVE. Night of Hope took place November 6, 2023, and is the premier fundraising event and awards gala in the family building space. RESOLVE hosted 584 guests at Cipriani 42nd Street and honored patient advocates and leaders in the field through the Hope Awards.”

“In FY 2024, RESOLVE tracked 169 state bills from 39 different states. RESOLVE tracked 51 state bills that would threaten access to care and we are proud to report that all 51 bills were defeated. RESOLVE hosted a State Advocacy Days in Minnesota (February 19, 2024) with 83 advocates attending. RESOLVE advocated for several bills that passed in FY 2024: Montana SB 516 - A new law to cover insurance for fertility preservation; Washington, DC B25-0034 - A new law to mandate health insurance in the individual, small and large groups for IVF and Fertility Preservation; New Jersey A5235/S3627 - Expands existing IVF insurance mandate to be more inclusive of LGBTQ+ community; Utah HJR 8 - New law to cover Fertility Preservation insurance coverage for state employees; and Oklahoma SB 1334 - New law to cover Fertility Preservation insurance after cancer. RESOLVE is active in many advocacy coalitions regarding issues at the federal and state level. RESOLVE continued to serve on the Executive Committee of the Adoption Tax Credit Working Group, a coalition of more than 150 adoption organizations. RESOLVE was an active member of the Coalition to Protect Parenthood After Cancer which seeks insurance coverage for fertility preservation for iatrogenic infertility. RESOLVE leads the Building Families Coalition which works at the state level to expand access to care through insurance reform legislation. Through the Coverage at Work program, we have successfully supported employees advocating for fertility benefits in their workplace through one-on-one coaching and our Coverage at Work Toolkit. This initiative has significantly increased covered lives for FY 2024. Covered Lives Total for FY 2024: 214,200. Over 500 employees have downloaded the Coverage at Work employee toolkit. 200 individuals have downloaded the employer toolkit. Alabama Supreme Court Ruling, February 16, 2024 The Alabama Supreme Court ruled on a very consequential case on February 16, 2024, ruling that a frozen embryo, created during the IVF process and existing outside the body, is a person and any harm that comes to that embryo falls under the Wrongful Death of a Child statute. This ruling led most of the fertility clinics in Alabama to pause doing IVF and handling embryos, causing patients to stop treatment. On February 28, RESOLVE, together with grassroots advocates and physicians hosted an Advocacy Day in Montgomery, AL, where more than 250 people participated and 34,504 letters were sent to AL legislators asking for help. The Advocacy Day was covered by every major media outlet in the country and created tremendous media coverage on the issue, resulting in 6,300+ media hits for RESOLVE. Fight for Alabama Families, a grassroots advocacy group, was created by RESOLVE to advocate for permanent protections for IVF in AL. the advocacy paid off as the AL Legislature passed and bill that was signed into law on March 7 offering limited protections and allowing clinics to re-open. RESOLVE's CEO was invited to meet with other national organizations at the White House on February 29 to discuss the issue of protecting access to IVF. Then on March 7, RESOLVE's CEO was invited to the State of the Union address as a guest of Congressman Gerry Connolly (D-VA-11).”
