Such director or officer shall, upon request, respond to questions regarding the matter at issue. Likewise, employees and volunteers have an ongoing duty to disclose to the executive director the material facts of any proposed transaction in which such persons have any actual or potential conflict of interest, and shall respond to questions regarding the matter. With respect to director and officer conflicts of interest, directors shall not participate in the deliberation or decision by the board, or applicable committee thereof, of the matter under question and shall retire from the room during the deliberation and vote. The minutes of the board or committee meeting shall reflect that the conflict of interest was disclosed and that the interested person was not present during the deliberation and vote. With respect to employee and volunteer conflicts of interest, such persons shall not participate in the deliberation or decision by dcrcc regarding the matter under consideration. The executive director of dcrcc shall take such additional action as may be required to ensure that the conflict of interest is resolved, and shall maintain a record of the existence and resolution of the conflict.”
