The mayor of the city of oxford appoints, with the approval of the oxford city council, the board members of the mccullough-hyde foundation to five-year terms.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy ("policy") applies to any trustee or officer of the board, or member of a committee with board-delegated powers ("interested party"). Any person who holds a similar position with the mccullough-hyde memorial hospital ("hospital"), the supported organization of the foundation, or any entity in any health care system or network of which the hospital is a part in also considered an interested party for purposes of this policy. In connection with any actual or possible conflicts of interest, an interested person must disclose the existence and nature of his/her interest, as well as all material facts relating thereto, to the chair and to other trustee or committee members who are considering the proposed transaction or arrangement. The information should be made a matter of record before any matter to which the interest relates becomes a matter of trustee action. Determining whether a conflict of financial interest exists - after disclosure of a financial interest, the interested person shall leave the board or committee meeting while the financial interest is discussed and voted upon. The remaining board or committee members shall decide whether a conflict of interest exists. Procedures for addressing the conflict of financial interest - if it is determined that the information disclosed by the interested person concerning a financial interest constitutes a conflict of interest on the part of such interested person, the following procedures shall apply: * an interested person may make a presentation at the board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. * the chair of the board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. *after exercising due diligence, the board or committee shall determine whether the foundation can obtain a more advantageous transaction or arrangement with reasonable efforts from a person or entity that would not give rise to a conflict of interest. *if a more advantageous transaction or arrangement is not reasonably attainable under circumstances that would not give rise to a conflict of interest, the board or committee shall determine by a majority vote of the disinterested members whether the transaction or arrangement is in the foundation's best interest and for its benefit and whether the transaction is fair and reasonable to the foundation and shall make its decision as to whether to enter into the transaction or arrangement in conformity with such determination. Procedures for addressing conflicts of interest not involving a financial interest - any interested person having a duality of interest or possible conflict of interest on any matter (even if it does not involve a financial interest) should not vote or use his/her personal influence on the matter. The minutes of the meeting should reflect that a disclosure was made and the abstention from voting. The foregoing requirements should not be construed as preventing a board or committee member from briefly stating his/her position in the matter, nor from answering pertinent questions of other members since his/her knowledge may be of great assistance. Violations of the conflicts of interest policy - if the board or any committee has reasonable cause to believe that a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. If, after hearing the response of the member and making such further investigation as may be warranted in the circumstances, the board or committee determines that the member has in fact failed to disclose an actual or possible conflict of interest, it shall take appropriate corrective actio

Additional Explanations

FORM 990, PART III, LINE 1, BRIEFLY DESCRIBE THE ORGANIZATION'S MISSION:

The foundation provides a variety of financial support, through grants, to mccullough-hyde memorial hospital ('hospital") and the surrounding community. It focuses on providing financial support to the hospital for departments and specialties, education, employees, healthcare programs, patients and general infrastructure. In addition, it makes investments in the surrounding community served by the hospital to address significant health needs. Each year, the emphasis is on programs and projects that focus on education, prevention programs, awareness efforts, wellness opportunities and direct care in the following areas - mental health, alcohol and drugs abuse, access to healthcare, food insecurities and obesity and healthy behaviors. These five funding priorities address significant health needs identified in the community health needs assessment, published triennially by the hospital.

Financial Statement Notes

PART V, LINE 4:

The endowment funds are focused on hospital department support (surgery, respiratory, laboratory, inpatient care, imaging, cardiac, oncology, pharmacy, physical therapy and obstetrics), employee support, program support (oxford free clinic, coalition for a healthy community, healing arts and prenatal and postpartum education), patient support (medical gap funding, temporary assistance and emergency funding) and hospital capital projects (facility renovations, equipment purchases and clinical innovation).

PART X, LINE 2:

The foundation is exempt from federal income taxes under section 501(c)(3) of the internal revenue code. The foundation is not a private foundation within the meaning of section 509(a)(3) of the internal revenue code. Accounting principles generally accepted in the united states of america require management to evaluate tax positions taken by the foundation and recognize a tax liability if the foundation has taken an uncertain position that more likely than not would not be sustained upon examination by various federal and state taxing authorities. Management has analyzed the tax positions taken by the foundation, and has concluded that, as of june 30, 2024 and 2023, there are no uncertain positions taken or expected to be taken that would require recognition of a liability or disclosure in the accompanying financial statements. The foundation's information returns for the years 2021 through 2024 are subject to examination by the internal revenue service, although that agency has not indicated any intent to do so. The llc is a disregarded entity and is reported as a division of the foundation on the foundation's information return.

THE ORIGINAL RESOURCES THAT CREATED THE FOUNDATION WERE GIVEN FOR THE PURPOSE OF ERECTING, MAINTAINING AND OPERATING A HOSPITAL IN OXFORD, OHIO, WHICH ULTIMATELY BECAME THE HOSPITAL IN 1957. EFFECTIVE JULY 1, 2019, THE FOUNDATION TRANSFERRED ITS OWNERSHIP PERCENTAGE IN THE HOSPITAL TO TRIHEALTH, INC. SINCE THE TRANSACTION, THE FOUNDATION HAS ONE OF ITS TRUSTEES ELECTED TO THE HOSPITAL'S BOARD OF DIRECTORS ALLOWING FOR INPUT IN HOSPITAL OPERATIONS. THE FOUNDATION IS RESPONSIBLE FOR RECEIVING ALL CHARITABLE CONTRIBUTIONS FROM COMMUNITY MEMBERS FOR THE BENEFIT OF THE HOSPITAL, MANAGING AND DISTRIBUTING THOSE FUNDS, AND ENSURING THEIR USE IS IN ACCORDANCE WITH DONOR WISHES. THE FOUNDATION LEADERSHIP WORKS WITH THE HOSPITAL LEADERSHIP TO DETERMINE HOW FUNDS ARE DISTRIBUTED. HOSPITAL NEEDS ARE EVALUATED ANNUALLY TO ENSURE THE GREATEST NEEDS ARE MET FIRST. THE HOSPITAL'S PRESIDENT AND OTHER EXECUTIVES ATTEND THE FOUNDATION'S BOARD OF TRUSTEES MEETINGS ON A MONTHLY BASIS.

THE COMMUNITY HEALTH NEEDS ASSESSMENT INCORPORATES INPUT FROM A WIDE VARIETY OF SOURCES, IDENTIFIES THE GREATEST HEALTH NEEDS IN BUTLER, FRANKLIN, PREBLE AND UNION COUNTIES AND PROVIDES LOCATION-SPECIFIC DATA POINTS RELATED TO HEALTH.
