The executive committee will present its list of approvedcandidates after considering recommendations from the nominating committeebut shall shall not be required to select approved candidates from thenominating committee's recommendations. Following appointment by thepresident, each appointed director shall be subject to ratification bymajority vote of the newly elected directors and any appointed director whois not so ratified shall not be eligible to serve as a member of theboard. Except as otherwise provided herein, appointed directors shall havethe same rights and duties.”

In any circumstances in whichthe personal or business interests of an officer or director of crb may beadverse to the interests of crb or the appearance of such a conflict may bereasonably anticipated, the conflict or potential conflict should bebrought to the attention of the board, and the board member in questionshould excuse himself/ herself from any deliberations which might raise theappearance of conflict, impropriety or unfairness. Each director andofficer has a fiduciary duty to act in the best interests of crb and thebreach of this fiduciary duty may have adverse legal consequences for crband the individual director or officer who breaches such duty. Each year,the executive committee members sign an individual conflict of interestpolicy.”

Raises, offers,bonuses and contracts for other key employees are determined by the executive director and approved by the board of directors.”
