“The board of directors shall designate an executive committee. The executive committee shall exercise the authority of the board of directors in (a) managing the day to day affairs of the corporation, and (b) carrying out all policy decisions made by the board of directors.”

“RPA's members consist of any person licensed to practice medicine in the United States who is engaged in the treatment of patients with kidney disease or in research activities involving kidney disease, nephrology fellows, and retired nephrologists. In addition, practice managers, advanced nurse practitioners, physician assistants and other nephrology professionals are also eligible for membership. The Board of Directors may also provide for other persons or categories of persons to be eligible for membership as deemed appropriate.”

“A Nominating Committee shall be selected by the Board of Directors each year. The Nominating Committee shall have at least three members. The Nominating Committee shall be composed of representatives of the Board of Directors and the membership-at-large and one member of the Nominating Committee shall at all times be a counselor. The election of directors shall take place via an electronic or mail ballot which shall be sent out with the approved list of nominees a minimum of 60 days prior to the date of the annual meeting. Members may cast their votes for or against the nominees listed on the ballot. Further, members may elect to write in other candidates' names.”

“Each member in good standing shall be entitled to one vote on each matter submitted to a vote of the members.”

“Renal Physicians Association will provide a copy of the Form 990 to all members of the Executive Committee by request before it is filed. The form 990 will be reviewed by the Executive Director, President, Treasurer, and the Director of Finance before it is filed. The Board is provided a copy of the return prior to filing with the IRS.”

“Renal Physicians Association maintains a written conflict of interest policy. All members of the Board of Directors are required to review this policy and provide the necessary disclosures on an annual basis, by responding to the official policy documents.”

“The Executive Committee of the organization reviews benchmark data collected by the American Society of Association Executives (ASAE) and the American Association of Medical Society Executives (AAMSE) in preparation for the performance review and salary determination for the RPA Executive Director. Comparable salaries for CEO's of similar size (budget), RPA type of association (individual physician membership), and geographic location of association headquarters (Washington, DC metro area) are reviewed by the Executive Committee to ensure appropriate alignment with like organizations. For other key employees, the Executive Director annually reviews benchmark data for similar positions that is also collected and published by ASAE and AAMSE to determine appropriate salary ranges for those staff members.”

“Renal Physicians Association makes all governing documents, conflict of interest policy, and financial statements available to the public upon request.”

“The organization's W2s were issued by Human Resources Inc (HRI) and Engage PEO. Engage PEO purchased Human Resources Inc (HRI) in 2024 resulting in W2s being issued by each company to each employee for the part of the year that each company was the PEO for RPA. There was a total of 9 W2s issued under HRI's EIN and 9 under Engage PEO's EIN. RPA does not file federal employment tax returns under its own EIN.”
