Governance Explanations

The board elects an executive committee to hold board meetings during the summer months (july and august).

The bookstore is organized as a non-stock corporation. Every registered student, every faculty member, and every classified and management service member of the university of oregon is a member of the corporation.

Each member shall be entitled to one vote on any matter, and no voting by proxy is allowed.

Members vote to change the articles of incorporation and the by-laws and to elect board members.

Form 990, Part VI, Section B, Line 11B

The cfo performs a detailed review of form 990 before filing. The final submitted form 990 is shared with the board of directors at the may board meeting after filing.

Form 990, Part VI, Section B, Line 12C

Directors sign new conflict of interest disclosures each year when the board takes office. These are retained in perpetuity with the board meeting minutes. Employed officers are given the policies upon hire to sign off on and these are retained in personnel files. For each interest disclosed to the president of the board of directors, the president will determine whether to: (a) take no action; (b) assure full disclosure to the board of directors and other individuals covered by this policy; (c) ask the person to recuse from participation in related discussions or decisions within the organization; or (d) ask the person to resign from his or her position in the organization or, if the person refuses to resign, become subject to possible removal in accordance with the organization's removal procedures. The ceo and cfo will monitor proposed or ongoing transactions for conflicts of interest and disclose them to the president of the board of directors in order to deal with potential or actual conflicts, whether discovered before or after the transaction has occurred.

Form 990, Part VI, Section B, Line 15

For the ceo there is a manager evaluation committee that meets and evaluates the performance of the ceo and sets goals and expectations for the following year. The board meets in executive session to discuss contract renewal and pay increase recommendations. The manager evaluation committee reviews compensation of the ceo of other similarly sized college bookstores. In addition, they review data from the employment department, regional compensation surveys through the cascade employers association and active job postings. Once compensation is decided, an employment action form is created by the chro and added to the ceo's employment file. This process was last completed may 2024. As for the cfo, the ceo and chro review the pay of similarly situated employees of other like sized/structured college bookstores. They also review salary information collected by the state of oregon employment department as well as a national executive compensation survey from the employer associates of america. Where applicable, salary information on job postings from the nrf (national retail federation) is also reviewed. In addition, they review data from the employment department, regional compensation surveys through the cascade employers association and active job postings. Once compensation is decided, an employment action form is created by the chro and added to the cfo's employment file. This process was last completed may 2024.

Financial Statement Notes

PART X, LINE 2:

Financial statement footnote reporting uncertain tax positions: the duck store recognizes the tax benefit from uncertain tax positions only if it is more likely than not that the tax positions will be sustained on examination by the tax authorities, based on the technical merits of the position. The tax benefit is measured based on the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement. The duck store recognizes interest and penalties related to income tax matters in operating expenses. As of june 30, 2024 and 2023, there were no uncertain tax positions.
