Mission

The primary mission of Opera Idaho is to fund and produce opera of the highest possible professional standard, in Boise and throughout the State of Idaho, and to foster wider acceptance, appreciation and enjoyment of opera and related art forms in young people and adults of all social and economic backgrounds, through diverse educational and outreach programs.

It is the mission of Opera Idaho, Inc. to fund and produce professional quality opera in Boise.

Governance Explanations

Form 990, Part VI, Section A, line 1

The Executive Council may exercise the powers of the Board, and make decisions of the Board. The Council reports its actions at the next board meeting and actions are subject to ratification, rescission, or revision by the Board. The Council is comprised of all Officers and up to three At-Large Members of the Executive Council selected by the President from the Board. There are no members of the Council who are not also members of the Board of Directors.

Form 990, Part VI, Section A, line 6

Any person (including the person's spouse, partner, or significant other), or the designated representative of any organization, that has contributed in cash or in kind to the Corporation during the current or immediately preceding fiscal year shall be deemed a Member of the Corporation. Members of the Corporation are referred to as Opera Members.

Form 990, Part VI, Section A, line 7A

Opera Members shall elect Board Members to seats that are vacant or whose terms will soon expire.

Form 990, Part VI, Section B, line 11B

The Board Treasurer reviews and signs Form 990 before it is filed. A copy of the Form 990 is provided to all Board members after filing.

Form 990, Part VI, Section B, line 12C

Each director, principal officer and member of a committee with governing board delegation powers shall annually sign a statement which affirms such person (1)has received a copy of the conflict of interest policy, (2)has read and understands the policy, (3)has agreed to comply with the policy, and (4)understands the organization is a public charity and in order to maintain its federal tax-exempt status it must engage primarily in activities which accomplish its tax-exempt purpose. Potential conflicts are reviewed by the Board and if a conflict is found to exist, the member abstains from voting on the issue.

The Executive Committee reviews the salary annually, comparing with salaries of General Directors of like-sized opera companies and salaries of Executive Directors of local arts and culture organizations. The Executive Committee approves the salary. The amount is then included in the budget, which is approved by the full Board.

Governing documents, conflict of interest policy, and financial statements are maintained at the Organization's business office and are provided upon request.
