Governance Explanations

Form 990, Part VI, Section B, Line 11B

The Board of Directors conducts a review of the organization's Form 990 (including all related Schedules) that has been prepared by an outside public accounting firm. Once the Board has completed its initial review of the Form 990, any questions, comments, and suggested revisions identified by the Board are discussed with the preparer. The preparer of the Form 990 makes any revisions to the Form 990 and it is again reviewed by the Board. The Board is then asked to grant approval for filing the Form 990. After such approval is obtained, each board member is provided with a final copy. The form is then filed with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

Officers and board members are required to annually document in writing any interests, relationships or holdings that could potentially result in a conflict of interest. If a conflict of interest is identified from an annual disclosure, the organization's executive committee will review the conflict and takes appropriate action, which may include prohibiting an individual from participating in the board's deliberations and decisions regarding a certain transaction. If a conflict is identified during a meeting, the entire Board will decide what appropriate action to take.

The organization's executive committee has general oversight of the organization's human resource plan, including the salary of the executive director. Salary surveys are used to benchmark compensation for the executive director position. The committee presents its findings and recommendations to the full board for review and approval as a part of the approval of the annual budget, which is documented.

OTHER PROGRAM SERVICES 4: Companion Connection: Each year we field hundreds of calls from pet owners with questions about their pets, from hopeful soon-to-be adopters with concerns about how to welcome a new pet into their family to pet owners experiencing a troubling behavior that might cause them to surrender, abandon, or turn out their companion animal. We help with our non-emergency behavior helpline to counsel and educate with the goal of creating and supporting humane homes for pets. Our goals are clear: helping people know the right time for a pet, know the right pet for their family, that a pet is one's pet for all of its life, and that every pet deserves a safe, respectful, and enriching environment. OTHER PROGRAM SERVICES 5: Disaster Preparedness & Response: Animals are affected by the same disasters and emergencies as people natural, man-made, large and small. Whether it's a wildfire, a flood, an earthquake, a chemical leak, an act of terrorism or a global pandemic, Napa Humane is vital to preparedness, response, and recovery efforts during and after disasters. This program focuses on ensuring that Napa Humane is able to continue operations or adapt services to meet the needs of the community during any disaster. Additionally, Napa Humane takes a role in educating pet owners on preparedness and planning for their pets in the event of a disaster. During times when a community disaster has been declared, Napa Humane assists the County of Napa in addressing the needs of pets and their people during and after the crises.

Financial Statement Notes

Part V, Line 4: Intended uses of the endowment fund.

TEMPORARILY RESTRICTED FUNDS WERE RECEIVED BY THE ORGANIZATION FOR BUILDING AN ANIMAL SHELTER WHEN THEIR FORMER SMALL SHELTER WAS RAZED DUE TO A LOCAL FLOOD CONTROL PROJECT. THE PLAN BECAME UNTENABLE WHEN THE ORGANIZATION WAS UNABLE TO FIND SUITABLE, AFFORDABLE LAND FOR THE BUILDING AFTER AN OFFERED LAND GRANT BY THE COUNTY OF NAPA WAS, IN FACT, MERELY A SHORT-TERM LAND LEASE. THE ORGANIZATION SHIFTED ITS GOALS FROM SHELTERING GIVEN THAT A NEW, LARGE MUNICIPAL SHELTER WAS CONSTRUCTED. MANAGEMENT CONTINUES TO CONTACT THE DONORS TO RECEIVE PERMISSION TO RELIEVE THE RESTRICTION ON THESE FUNDS. The balance of these funds totaled $126,044 at the end of the year. In addition, a $15,000 restricted grant was received during the year. The restricted balance of this grant totaled $2,965 at the end of the year.

IRS990/Desc0Clinic Services: Napa Humanes professional veterinary team is dedicated to ending pet overpopulation. We operate a low-cost, high quality Spay/Neuter Clinic serving companion animals throughout the Napa Valley performing an average of 18 spay or neuter surgeries each day with our one surgery suite, operating an average of 250 days. Additionally, Napa Humane is an important link in keeping a healthy population of pets and people by holding a weekly affordable vaccination/microchipping clinic. This program focuses on ensuring that Napa Humane is able to continue operations or adapt services to meet the needs of the community during any disaster. Additionally, Napa Humane takes a role in educating pet owners on preparedness and planning for their pets in the event of a disaster. During times when a community disaster has been declared, Napa Humane assists the County of Napa in addressing the needs of pets and their people during and after the crises.
