Governance Explanations

Form 990, Part VI, Section B, Line 11B

The president/ceo and cfo review the financial statements prior to those numbers being entered on the 990. A copy of the 990 is available for the board of directors to be reviewed at the board meeting. The president/ceo and cfo review the 990 prior to it being filed.

Form 990, Part VI, Section B, Line 12C

A policy is in place and there are no current conflicts. The organization has implemented procedures that will allow annual verification of compliance with their conflict of interest policy.

Form 990, Part VI, Section B, Line 15

The compensation committee approves officer salaries and bonuses and all officers' salaries are compared to the third party software and consulting firm compease. The software considers numerous qualitative factors of each officer (i.e. Number of people they supervise, amount of education/experience, etc.) and gives the committee a range of what that position should be paid based on the grade that is calculated. The committee also considers factors beyond those considered by the software and all salaries are explicitly approved by the board's compensation committee.
