“The final 990 will be reviewed first by the finance director, executive director, and the treasurer. It will then be distributed to the full board of trustees for review prior to filing with the irs.”

“Any board member, officer, employee, or committee member having an interest in a contract or other transaction or determination presented to the board of trustees or a committee of the corporation for recommendation, authorization, or ratification of his or approval shall give prompt, full and frank disclosure of his or her interest to the board of trustees or committee prior to its acting on such contract or transaction, the body to which such disclosure is made shall thereupon determine, by majority vote, whether the disclosure shows that a conflict of interest exists or can reasonably be construed to exist. If a conflict is deemed to exist, such person shall not vote on, nor use his or her personal influence on, nor participate (other than to present factual information or to respond to questions) in deliberations respect to such contact, transaction or determination. Such person may not be counted in determining the existence of a quorum at any meeting where the contract or transaction is under discussion, determination, or is being voted upon. The minutes of the meeting shall reflect the disclosure made, the vote thereon, and, where applicable, the abstention from voting and participation, and if a quorum was present”

“The school's salary plan was developed after reviewing salaries of area independent schools, other waldorf schools, and area public schools. The board of trustees approved the salary plan and annually approves salaries as part of the budget process. The board must approve all increases or decreases to the salary plan. Employees are placed on the salary plan scales using criteria of experience and education. The salary for the executive director was set by the board above the top salaries of other regular employees. Any changes to the salaries of the executive director would be determined by the board as part of the performance review and budget process.”

“Governing documents, conflict of interest policy, and financial statements are available upon request for the same period of disclosure as set forth in section 6104(d).”
