Mission

The purpose of Overlake Hospital Auxiliaries is to promote, support, and advance the wellbeing of Overlake Hospital Medical Center through a variety of ways including serving as goodwill ambassadors to the community, conducting fund-raising activities, maintaining membership strength, and providing service to the Hospital for the benefit of its patients and their families.

Governance Explanations

Form 990, Part VI, Line 6: Explanation of Classes of Members or Shareholder

Membership in Overlake Hospital Auxiliaries is open to anyone who pays dues in accordance with the bylaws and who supports the stated purposes of Overlake Hospital Auxiliaries.

Form 990, Part VI, Line 7A: How Members or Shareholders Elect Governing Body

The President, Vice President, and Secretary/Treasurer shall be elected by majority vote of the membership for a one year term or until their successor is elected. No officer shall serve more than two consecutive terms.

Form 990, Part VI, Line 7B: Describe Decisions of Governing Body Approval by Members or Shareholders

The Overlake Hospital Medical Center Board of Trustees must approve the following: a) any sale or lease of all or substantially all of the assets of the corporation, b) any taking or lending of credit not in the ordinary course of business, c) the annual budget and amendments thereto, d) the auditors of the corporation, and e) any amendments to the articles of incorporation and bylaws of the corporation.

Form 990, Part VI, Line 11B: Form 990 Review Process

The 990 is prepared internally and reviewed by an independent accounting firm. The 990 is then reviewed by Executive Director, President & CEO, CFO, and Overlake Hospital Medical Center Finance Committee. A public disclosure copy is distributed to the Auxiliaries Board members prior to submission to the IRS.

Form 990, Part VI, Line 15A: Compensation Review & Approval Process - CEO, Top Management

Overlake's policy and process for Executive Compensation is fully documented in the "Executive Compensation Administration and Compliance Manual". This manual details the charter of the Compensation Committee of the Board, the compensation philosophy and how salary increases, incentives, benefits and perquisites are administered. Compensation Committee members are independent board members as required by the Charter and By-laws. The process includes an independent consultant who works directly for the Compensation Committee and a review of comparable data from external sources. All compensation related decisions for the CEO, COO and Vice Presidents and Auxiliaries Executive Director are discussed, deliberated and voted on by the Compensation Committee and documented in the minutes of the meeting. Officers Mary Beth Stearns, Craig Hendrickson, J. Michael Marsh and Gary McLaughlin are paid by related affiliate Overlake Hospital Medical Center.

Overlake Hospital Auxiliaries makes its governing documents and conflict of interest policy available through the Hospital's administration office. The Overlake Hospital Medical Center consolidated financial statements are available on the Overlake Medical Center's web site.

The significant changes to the by-laws were the reduction of one officer by combining the Secretary and Treasurer positions and reducing the quorum requirement for ordinary business at meetings from 1/3 to 1/5.
