Governance Explanations

Form 990, Part VI, Section A, line 3

CEC/MW contracted with Association Management Group, Inc., for association management services and termianted the contract in March of 2015. Total compensation CEC/MW paid to the management company during calendar year 2015 for services rendered was $49,667. After the contract was terminated, the Executive Director became an employee of the organization.

Form 990, Part VI, Section A, line 6

CEC/MW is a member organization. CEC/MW membership takes four forms: (1) Members in member firms, (2) Life members, (3) Associate members, and (4) Affiliate members. Only active members may serve as an officer on the Board of Directors and vote for the Board of Directors. Associate and affiliate members may not vote, hold offices or chair a committee.

Form 990, Part VI, Section A, line 7A

Officers and directors shall be nominated by the Nominating Task Force or by nominations from the floor. The Nominating Committee slate and proxy forms shall be distributed to the membership along with notice of the membership meeting at which elections shall be held. A nominee receiving the majority of votes cast by the membership in person or by proxy shall be declared elected. In the event no candidate receives a majority vote, the two nominees receiving the greatest number of votes shall be voted upon again.

Form 990, Part VI, Section A, line 7B

Only issues included on the agenda which accompanies the meeting notice may become voting issues. The Board may send out ballots or proxies with the meeting notice to indicate the recommendation of the Board on planned voting issues and allow members who cannot attend to register their vote. Members present at a membership meeting shall constitute a quorum. Decisions shall be by majority vote of members present in person or by proxy, unless otherwise required by the bylaws.

Form 990, Part VI, Section B, line 11

A copy of the Form 990 is first reviewed and approved by the Executive Director. Upon Executive Director's approval, it is forwarded to the finance committee, or an approved representative of the finance committee, to review the Form 990 prior to submission. The final Form 990 is provided to the full Board of Directors prior to submission.

Form 990, Part VI, Section B, line 12C

Each director and officer is required to review a copy of the conflict of interest policy, which requires each person to disclose any relationships, positions or circumstances in which he or she believes could contribute to a conflict. Following full disclosure of a possible conflict of interest, the Board of Directors shall determine whether a conflict of interest exists and, if so the Board shall vote to authorize or reject the transaction or take any other action deemed necessary to address the conflict and protect CEC/MW's best interests.

IRS990/Desc0The Consulting Engineers Council of Metropolitan Washington (CEC/MW) holds conferences, seminars, and networking luncheons, all of which serve to educate members and increase access to timely information from public and private agencies, and also provides a referral service and a voice to members both in the design profession and in the engineering communities. CEC/MW also has a government regulations program targeting business issues to legislators and regulators. Books, manuals, audio tapes, and other educational materials are available through CEC/MW. The Council also produces a newsletter, "The Exchange," that provides educational and informative articles regarding hot topics in the consulting engineering industry. CEC/MW's members include more than 100 engineering firms with, collectively, more than 2,300 customers.

Total compensation CEC/MW paid to the management company during calendar year 2015 for services rendered was $49,667.
