“Membership of the Mountain View Police Officers Association consists of active, affiliate, associate, reserve, retired, former and other members, as described in the MVPOA Bylaws.”

“Membership nominates officers and directors at the annual General Membership meeting and elects officers by majority vote via a secret ballot. Any article of the MVPOA Constitution and/or Bylaws may be altered, amended or suspended by a two-thirds (2/3) majority vote of the members present at a scheduled meeting, provided that the vote does not take place during the same meeting at which the amendment is proposed. Any on-duty member or retired member living outside of California may assign proxy in writing to another attending member for voting purposes at a scheduled meeting.”

“Members in good standing may vote in all other matters of Association business, except that only Active and Affiliate Members may vote on matters relating to wages, hours, fringe benefits and other terms and conditions of employment as may be subject to negotiations between the Association and the City or Police Department.”

“A copy of Form 990 and related informational returns are provided to the Board of Directors for review prior to submitting to the tax agencies. Any questions are forwarded by the Treasurer to the CPA firm which prepared the returns, and resolved prior to filing.”

“The Board of Directors agree to disclose in writing to the Board, or to any relevant ad hoc committee, if they, or any member of their immediate families, or any organization with which they are affiliated, presently transact business with the Mountain View Police Officers Association. Board Members with such relationships will not be eligible to vote on matters directly pertaining to the business to be transacted with the identified person or organization. The foregoing requirements, however, are not be construed to prevent a particular board member from briefly stating his/her position on the matter, nor from answering pertinent questions of other trustees or committee members by reason of the fact that personal knowledge on the matter may be of assistance to the other board or committee members in reaching their decision.”
