“The executive committee will consist of the officers of the corporation and three or more directors; one or more director who is from the public sector, one or more director who is from the private sector and one or more at-large directors; and the executive director (who shall be a non-voting member). If the vice chairman is a voting member of the board, the vice chairman shall serve as an at-large director on the executive committee. Directors in good standing are eligible to serve on the executive committee. The president shall appoint an eligible director to each vacant position on the executive committee. Unless limited in a resolution of the board, the executive committee shall have and may exercise all the authority of the board in the management of the business and affairs of the corporation.”

“Members shall be persons who by education, interest, or experience are qualified to further the goals of the commission. They must apply and then be approved by the governor. They become full members after approval and once the annual membership dues have been paid. The governor may appoint ex-officio, honorary, complimentary, and lifetime members.”

“At annual meetings, members shall elect a board of directors and may transact any other business properly brought before the meeting. Each member is entitled to one vote in person or by proxy.”

“The board will not review the form 990. The form will be reviewed and signed by the executive director.”

“The governing documents and financial statements will not be made available to the public.”
