Amended Return Status

FORM 990, HEADER, SECTION B The return is checked 'amended' in Box B of the Heading only because of a clerical error in the preparer's IRS electronic filing process. MEMBERS OR STOCKHOLDERS FORM 990, PART VI, LINE 6 Membership is a privilege and is achieved by compliance with the bylaws. Categories: 1. Active membership Active members shall be individuals occupationally or professionally involved in the practice and management of infection control and/or the application of epidemiology. Such members may vote in elections, serve on committees, and hold elected office. 2. Associate Membership Associate members shall be individuals not actively involved in the practice and management of infection control and/or the application of epidemiology. Such members may not vote or hold elected office. 3. Retired Membership Retired members shall be individuals who are no longer employed in any capacity and who have had five consecutive years of active or associate APIC membership prior to retirement. Retired members may not vote or hold elected office, however, they may serve in appointed capacities. 4. Honorary Membership Honorary members shall be individuals elected to this category by the Board of Directors in recognition of their contribution to the association. Honorary members shall not be occupationally or professionally involved in the practice or management of infection control or the application of epidemiology, such members may serve the association in any manner mutually agreeable to themselves and to the Board, but may not vote or hold elected office. 5. Lifetime Lifetime members shall be individuals elected to this category by the Board of Directors in recognition of their contribution to the field of infection control and/or to the Association. Lifetime members are those individuals who are currently or have been occupationally or professionally involved in the practice and management of infection control and/or the application of epidemiology. Such members may vote in elections, serve on committees, and hold elected office. 6. Patron Membership Patron members shall be organizations or groups interested in supporting the Association. Such members may not vote or hold elected office. 7. Student Members Individuals enrolled full-time in an accredited institution, prior to the award of an associates or bachelors degree. Such members may not vote or hold office; however, may serve on committees.

Members or Stockholders Who May Elect

Form 990, Part VI, Line 7a Elections shall be held annually prior to the beginning of terms of office. Voting: 1. Only active and lifetime members may vote. 2. Voting shall be by mail or electronic ballot. 3. A majority vote shall elect when there are less than three candidates. 4. A plurality vote shall elect when there are three or more candidates. 5. Tie votes shall be broken by drawing lots.

Decisions Subject to Approval

Form 990, Part VI, Line 7b Changes to the governing documents must be approved by two/thirds (2/3) of the membership voting.

Form 990 Review Process

Form 990, Part VI, Line 11b All supporting schedules and information is provided and compiled during the annual audit. The 990 is completed by APIC's tax firm and is reviewed in detail by the organization's CFO and CEO. Additionally, the then completed and reviewed form 990 is made available to the organization's finance committee for their review and any questions and comments are addressed by either the organization's CFO or CEO. A final PDF copy is also made available to the Board of Directors for their review before the Form 990 is filed.

Conflict of Interest Policy Monitoring & Enforcement

Form 990, Part VI, Line 12c Annually, all board members, the CEO and CFO are required to complete a conflict of interest declaration. They must acknowledge that they have read and understand the conflict of interest policy. At each board call or meeting, all board members are required to declare any new conflicts of interest. The CEO reviews declarations and they are posted on the Board of Director portal for access by all board members. The conflicts are managed by the board of directors and restrictions are imposed contingent on the extent of the conflict. The person with a conflict, if egregious, will recuse themselves from the discussion and the vote if applicable; other actions as determined by the board of directors could be non-participation in the discussion and/or abstaining the person from voting.

Process for Determining Compensation

FORM 990, PART VI, LINE 15A Salary surveys are used to compare compensation and benefits of CEO, Executive Director, top management officials, and key employees. The compensation committee approves the CEO's salary and then documents its decision in contemporaneous minutes.

Form 990, Part VI, Line 19 APIC makes its governing documents available on its website. Their conflict of interest policy and financial statements are made available upon request.

Liability for Uncertain Tax Position (asc 740)

Schedule d, part x, line 2 apic is exempt from federal income tax under irc section 501(c)(3). Apic is subject to tax on income unrelated to the organization's exempt purpose, unless that income is otherwise excluded by the code. Apic has processes presently in place to ensure the maintenance of its tax-exempt status; to identify and and report unrelated income; to determine its filing and tax obligations in jurisdictions for which it has nexus; and to identify and evaluate other matters that may be considered tax positions. The tax years ending december 31, 2015, 2014, 2013, and 2012 are still open to audit for both federal and state purposes. Apic has determined that there are no material unrelated uncertain tax positions that require recognition or disclosure in the consolidated financial statements.
