“Mpi and the foundation are not-for-profit organizations exempt from federal income taxes under section 501(c)(3) of the internal revenue code ("irc"), except to the extent they have unrelated business income. Should the organization engage in activities unrelated to the purpose for which it was created, taxable income could result. Income tax expense for the year ended december 31, 2022 was $0. The financial accounting standards board ("fasb") has issued guidance in accounting for uncertainties in income taxes which required that the organization recognize in its financial statements the financial effects of a tax position, if that position is more likely than not of being sustained upon examaination, including resolution of any appeals or litigation processes, based upon the technical merits of the tax position. The requirements also provide guidance on measurement, classification, interest and penalties, and disclosure. The organization is relying on its tax-exempt status and its adherence to all applicable laws and regulations to preserve that status. However, the conclusions regarding accounting for uncertainty in income taxes will be subject to review and may be adjusted at a later date based on factors including, but not limited to, ongoing analysis of tax laws, regulations, and interpretations thereof. Tax positions taken related to the organization's tax exempt status, unrelated business activities taxable income and deductibility of expenses and other miscellaneous tax positions have been reviewed, and management is of the opinion that material positions taken by the organization would more likely than not be sustained by examination. Accordingly, the organization has not recorded an income tax liability for uncertain tax benefits. The organization recognizes interest and penalities, if any, related to uncertain tax positions as income tax expense. The organization's informational returns are generally subject to examination for three years after the later of the due date or date of filing.”
