Springtime tallahassee is a civic organization dedicated to the promotion and presentation of our capital's history through the production of an annual community festival.

Governance Explanations

Form 990, Part VI, Section A, Line 1A

The president, president-elect, secretary, treasurer, general chair, general chair-elect, and governor shall constitute the executive committee of the board of directors and are authorized to act in the interim between regular board meetings to transact such business of the organization as may be required. The concurrence of at least four (4) members of the executive committee shall be required for it to act and such action shall be approved/ratified by the board of directors at its next regular meeting.

Executive director, black moore and board member, brady squires have a family relationship. All board members also serve as board members for related organization, springtime tallahassee festival, inc.

Form 990, Part VI, Section A, Line 4

The bylaws were revised to update the organization's membership structure and general member requirements. The number of krewes was reduced from five to three. The three revised krewes include the spanish krewe 1528-1821, the war & reconstruction krewe 1821-1900, and the 20th century krewe and beyond 1901-present. The maximum number of regular and provisional members in each krewe increased from 50 to 80. A minimum member requirement for each krewe was also set for 25. The number of board members was reduced as each krewe has a chief and representative that serves on the board of directors.

The organization has five classes of members: regular, provisional, sustaining, corporate, and honorary. Only regular and provisional members have voting rights. Only regular members can hold office on the board of the directors.

The form 990 is provided to and reviewed by the organization's board of directors annually. A final review and approval of the form 990 is done by the organization's executive director and president prior to finalizing and filing with the irs.

Each director, principal officer and member of a committee with governing board delegated powers shall annually sign a statement which affirms such persons: (a) has received a copy of the organization's articles of incorporation and bylaws, which include a conflict of interest policy and other prohibitions and restrictions; (b) has ready and understands the articles and bylaws; (c) has agreed to comply with the articles and bylaws; and (d) understands the organization is charitable and in order to maintain federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes(s), as well as avoid substantial, significant or material conflicts of interest
