Governance Explanations

Form 990, Part VI, Section A, Line 67

Article III of the Organizations by-laws defines members as anyone who pays annual dues according to a schedule set by the Board of Directors. Article IV states that members will ratify the slate of Directors at each annual meeting for the ensuing year. Article XII, Section 2 states that the by-laws may not be amended to prevent the Organization from qualifying as an exempt organization under Sections 170c, 170b1Av. and 501c3 or otherwise of the Internal Revenue Code as may be amended from time to time without the vote of one hundred percent 100 of the Members present and voting at a meeting at which a quorum is present.

The Board of Directors reviews and approves the Form 990 following review of the Finance and Executive Committees.

Form 990, Part VI, Section B, Line 12C

Each member of the Board of Directors is required to annually report, sign and file a form affirming that they have read, understood and agree to abide by the Organizations conflict of interest policy. All directors, advisors and employees are required to submit to the President a list of businesses and other entities with which the Organization has or is contemplating entering into a relationship or transactions and with which the director, advisor or employee or a member of his or her immediate family is 1 an officer, director, trustee, member, employee or client 2 a 5 shareholder 3 is the owner of shares valued at more than 10,000.

The Organization uses data from the Land Trust Alliance for salary ranges for Exeutive Directors in like organizations based upon budget and uses comparable non-profit Executive Directors salaries in the region. Review and approval of the Executive Directors salary range is based upon the above and her annual performance review with recommendation to the Board by the Executive and Finance Committees for Board approval as part of the annual budgeting process.

Financial Statement Notes

Pursuant to the national Land Trust Alliance standards and practices, the Sakonnet Preservation Association the Association shall monitor each of its conservation easement properties within each calendar year and within twelve months of acquisition. Annual property monitoring strengthens the relationship with the landowner, ascertains changes in land ownership and ensures enforcement of the easements terms. Effective property monitoring is required to uncover possible easement violations, initiate remediation, undertake enforcement actions and establish a record for possible legal action. The Association is committed to monitoring, defending and enforcing their terms and restrictions in a consistent, timely manner.

The volunteer property monitor or Stewardship Director shall walk the boundaries of the property, making every effort to locate them, following the baseline Documentation Report, Management Plan or Survey Plan photographs. Overall supervision of monitoring shall be the responsibility of the Stewardship Director who shall delegate monitoring duties to the Associations trained volunteer monitors which may include the Sakonnet Preservation Associations Board Members. Completed monitoring reports will be archived in accordance with the Associations adopted Records Policy and Procedure.

Conservation easements placed on land owned by the Organization impair the value of the land. Accordingly, the loss of value is shown as a reduction of net assets on the Statement of Activities. The Organization also holds conservation easements including deeded development rights on land owned by other parties. There is no market for such easements, which are recorded at 1 at time of receipt.

The Organization accounts for uncertainty in income taxes in accordance with ASC Topic Income Taxes. This standard clarifies the accounting for uncertainty in tax positions and describes a recognition threshold and measurement attribute for the financial statements regarding a tax position taken or expected to be taken in a tax return. The Organization has determined that there are no uncertain tax positions which qualify for either recognition or disclosure in the financial statements as of December 31, 2023.
