“The institute amended the by-laws to reflect for the following changes: 1. Director compensation: directors typically do not receive compensation for board duties but may be reimbursed for approved expenses and compensated for separate expert services, with such payments determined by the ceo in consultation with the board chair. 2. Officers - terms, elections, vacancies and resignations: the institute's officers (chair, vice chair, treasurer, and secretary) are elected annually from among the directors by a plurality vote, following nomination by the board chair and recommendation by the governance and nominating committee; officers may serve up to three three-year terms, with extensions allowed to complete an officer term. 4. President - tenure, elections, approval: at the end of the president's tenure, a new president will be selected by a process at the discretion of the chair. The executive committee must review and approve the final candidate before the new president must be approved by a majority vote of the board of directors.”

“1. The 990 form tax return is prepared by the institute's independent auditors in collaboration with the institute's finance department. 2. The draft of the tax return is first reviewed by the cfo and cao/controller, who propose and discuss edits with the independent auditors. 3. Next, the draft of the tax return is submitted to the audit committee. 4. The audit committee reviews the draft of the tax return with the independent auditors and either recommends revisions or approves the draft. 5. Next, the approved draft of the tax return is shared with the entire board of directors. 6. The board of directors have 10-14 days to review the final draft of the tax return and send questions or revisions. 7. After the review period ends, the cfo requests the final tax returns from the independent auditors. 8. The finance team files the tax returns as soon as possible after the end of the review period.”

“1. Each year, the office of the president and ceo distributes conflict of interest forms to all directors of the board 2. Directors complete the forms and disclose conflict of interest, if any 3. Directors sign the forms and return them to the office of the president and ceo 4. The forms are scanned and electronic copies are retained in the board folder in the cloud server.”

“Each year, in december, the chair of the board and the executive committee of the board review the executive compensation, taking into consideration the accomplishments and the annual budget. At the end of the review, the chair of the board and the executive committee decide on the annual salary and bonus for the president and ceo. The chair of the board and the executive committee shares the evaluation of the president and ceo's performance, annual salary and bonus decisions with the board of directors in a closed session. The board of directors reviews the proposed salary and bonus and makes the final decision. The chair of the board communicates the final decision about annual salary and bonus to the president and ceo, and the cfo. The decision if filed in the president and ceo's personnel folder. The cfo is responsible for reflecting the approved salaries in the annual budget and for processing the approved bonus.”
