“Organization has members. Every member in good standing with the state bar of michigan shall be eligible for regular membership and may, upon making application and payment of dues as may be required, be admitted to membership with notice to the board of directors. The types of membership include voting and non-voting members. Regular members are eligible to vote and hold office within the association and are attorneys in good standing with the state bar of michigan. Non-voting members include: legal assistants / paralegal associates, legal assistant student associate and law student associate. These associate members shall not be eligible to vote or hold office within the association. Each member in good standing shall be entitled to cast one (1) vote in any proceeding which calls for a vote of the membership, including the election of new board of directors.”

“Form 990 is reviewed by the executive director prior to being submitted to the board for their review. Further, form 990 is provided to each member of the board before it is filed.”

“The organization uses a voluntary process of open disclosure at monthly governing board meetings to enforce compliance with the conflict of interest policy. The board of directors is covered by this policy which requires directors to disclose any potential conflicts during the first meeting of the fiscal year. If a dirctor is determined to have a conflict they must recuse themselves from any discussion and abstain from any votes regarding these matters.”

“The compensation committee and governing board review compensation data as provided by the american bar association and comparables of like organizations in michigan to determine appropriate compensation levels. The determination of compensation is contemporaneously documented in minutes of the board of directors. This process was last done in 2018.”
