“The association has members who are able to attend the annual convention.”

“The nominating committee submits a slate of candidates for the board of directors. Members can nominate someone from the floor for a position or approve the slate of directors as proposed.”

“The nominees for the board of directors are approved by the members at the annual convention. Changes to the bylaws are submitted to the members at the convention.”

“The board of directors delegated to the executive committee the authority to review the form 990 before it is filed. A draft of form 990 is sent to the executive committee. Form 990 is reviewed and any questions that arise from the committee are answered and/or cleared prior to the filing of the return.”

“Conflict of interest disclosure forms are distributed at the first board of directors meeting of each year and mailed to those who are not in attendance. If there is a conflict of interest involving a member who seeks to provide a service to the association, the board requires the staff to secure another bid, then if the board approves the contract, it is ratified by the members attending the convention. The board member providing the service abstains from voting.”

“The performance review committee reviews the president's (ceo) work and recommends a salary amount to the budget committee. The performance review committee consults the most recent salary survey of the mississippi society of association executives for comparability in setting the president's salary. The budget committee incorporates that amount into the budget which must be approved by the board of directors. The same process is followed, except for consulting the salary survey, for other staff members. No officers of the board are paid.”

“The association makes its governing documents, conflict of interest policy and financial statements available to the general public upon request.”

“The auditor meets with the board of directors making a full presentation at the completion of the audit for the year answering any of the board's questions. The auditor works closely with the board of directors during the year should any concerns arise.”
