“The executive committee of the foundation board shall consist of the following members: 1.) chair of the foundation 2.) president of university 3.) immediate past chair of the foundation 4.) chair-elect of the foundation 5.) chair, development committee 6.) chair, governance committee 7.) chair, finance and audit committee 8.) chair, investment committee 9.) chair, grants committee 10.) board of trustee designee 11.) unf financing corporate designee 12.) moca designee 13.) at-large members from the foundation at the discretion of the foundation chair and the university president 14.) ex-officio, the executive director/secretary of the foundation 15.) ex-officio, the treasurer of the foundation the executive committee shall meet at the call of the chair of the foundation. One-third of the members shall represent a quorum of the committee. The executive committee shall have and may exercise all powers and authority of the foundation board between meetings of the foundation board and shall be empowered to act on behalf of the foundation board in cases where a meeting of the full foundation board will not occur within the time frame necessary for approving an action deemed to be in the best interest of the foundation. Actions by the exeuctive committee shall be subject only to such restrictions as the foundation board may from time to time specify. A report of the actions taken by the executive committee shall be presented to the foundation board in a timely manner.”

“The form 990 is prepared by an external cpa firm. The final draft is reviewed by the unf foundation's board and its staff. Once draft is approved, the 990 is finalized and filed with the irs.”

“Board members annually complete the conflict of interest forms. The unf foundation management reviews the conflict of interest forms for any noted conflict of interest. If any exist and requires a board vote, the board of director member recuses himself or herself from voting on the issue. It is noted in the official minutes that the board member acknowledged the conflict and recused from voting.”

“Foundation employees are employed by the university of north florida. The foundation reimburses the university for payroll costs (salaries and fringe benefits) for the foundation's portion of the payroll costs. The calculation of this reimbursement is based on the percentage of each employee's salary and benefits that is related to their services performed for the foundation. The vice president for university development and alumni engagement and executive director's, university of north florida foundation compensation (top management official) is reviewed and set by the president of the university of north florida or designee, in accordance with the university policies. These policies require that comparable data be used to determine that management is compensated fairly and competitively when compensated to similar roles in other universities nationally.”

“The organization's form 990 is posted on guidestar (www.guidestar.org) and is also available upon request from the organization.”

“The governing documents and financial statements are made available to the public upon request from the organization.”

“The number of employees reported on part v, line 2a represents the number of employees of the filing organization during the tax year 2024 which were reported on form w-3 by unf, a controlling related entity. Similarly, the salary expenses reflected on form 990, part ix were all reported on the form 941, employer's quarterly federal tax return, of unf and reimbursed by unf foundation.”
