“Line 7a explanation - 3. Manner of election and term of directors. (a). Association professionals. Directors shall be elected at the annual meeting by a vote of the voting members for a term of three (3) years. The term of four (4) directors shall expire at the end of each calendar year. A director may not be elected to more than two (2) consecutive three-year terms of the board of directors. (b). One association supplier director shall be appointed each year to a voting position on the board by the president-elect, and shall serve a term of two (2) years. The term of one association supplier director shall expire at the end of each calendar year. Association suppliers are not eligible to be elected as officers of the society.”

“Line 11a explanation - the 990 is first reviewed by the finance committee and then provided to the board of directors for review and approval.”

“Annual reporting is required by officers and directors as well as identifying any conflict at each board meeting. Violation is grounds for removal from the board of directors.”

“Consistent with the requirements of 6104(d) of the internal revenue code and the regulations there under, electronic copies of the organization's form 990 shall be made available, upon request, in a timely manner, and without charge to any individuals who request it.”
