Governance Explanations

Form 990, Part VI, Section A, Line 3

Msc contracts property management of four directly owned properties and two disregarded entity properties to allied residential who also serves as property manager for a majority of affiliated llc/llp property entities where msc is the general partner or managing member respectively.

Form 990, Part VI, Section B, Line 11B

The finance manager and executive director review form 990 before sending a copy out to the full board.

Form 990, Part VI, Section B, Line 12C

Msc does not engage in any transaction which presents a conflict of interest either in fact or in appearance. Per the conflict of interest policy any actual or potential conflict of interest must be disclosed to the board of directors at a meeting of the full board.

Form 990, Part VI, Section B, Line 15A

The chief executive officer's salary is reviewed by the personnel committee annually. Recommendations for adjustment are based on performance against established goals and comparison of compensation data for similarly qualified persons in comparable positions at similar situated organzations. Such comparisions are generally based on united way salary surveys of nonprofit organizations in king and snohomish counties. Once the personnel committee has reviewed performance objectives and outcomes, there is an executive session held with the full board of directors at which time the performance review is accepted and any salary adjustments are recommended. The board then adjourns the executive session and reconvenes into a regular meeting and makes the final recommendation which is recorded in the official board minutes.
