Share Inc. was established in 1969 by a coalition of local religious and civic institutions to meet the emergency needs of those in economic distress in the greater McLean area. Share aids low income families though its family assistance food clothing back-to-school and computer donation programs.

Part VI, Line 4

At its January 9 2025 membership meeting the Members of Share Inc. adopted By-Laws that were amended and restated to reflect current Virginia laws governing non-stock corporations. Also changes to the By-Laws were made to more clearly define the rights of Members of Share including when and how a person becomes a Member. Administrative changes were made relative to the conduct of board meetings and membership meetings. Minor changes were made to the duties and powers of the board of directors including creation of new committees and inclusion of ex-officio directors.

Part VI, Line 6

Share Incorporated is organized as a non-stock nonprofit corporation. Any person in the community who devotes services or resources to Share is eligible to register to become a member of Share. Members are entitled to elect annually the board of directors and officers of Share and to vote on any other matters brought to the membership for consideration at membership meetings.

All members of Share are eligible to elect annually the corporations board of directors and officers.

Part VI, Line 7B

All members of Share are eligible to vote on matters brought before the membership by the board of directors for consideration at membership meetings.

Part VI, Line 11B

Once the Form 990 is completed by the Treasurer a copy is given to the President of Share to review. The President may give copies to other Share members for their input as needed. When all comments and recommendations are resolved the Treasurer makes any resulting changes and then submits the signed Form 990 to the IRS.

Part VI, Line 19

Share Inc. is an entirely volunteer charity; it has no employees and no member or other person is compensated directly or indirectly by Share. Therefore Share has no conflict of interest policy. Share has governing documents that it makes available via Dropbox to all board members and to anyone else upon request. Financial statements are presented at membership meetings open to members and the general public and Form 990 is made available on the ShareofMcLean.org website via a link to the ProPublica website or upon request.

Part IV, line 1A

Share Inc. acts as a checkwriting agent for Fairfax County Virginia to help the County distribute federal funds awarded to the County under the ARPA Bridge ERA program. Share holds the funds in its accounts but has no legal ownership or control over the funds. Share writes checks to disburse the funds in specified amounts and to specified payees solely as directed by the County to landlords of homeowners in financial distress due to the COVID pandemic.
