Governance Explanations

Form 990, Part VI, Section B, Line 12C

Annually, each director and officer must complete a disclosure statement reflecting his or her interest. The board is responsible for reviewing the disclosure statement so that he or she is familiar with potential conflicts. In addition, each director and officer is personally responsible for disclosing his/her actual or potential conflict at the time the organization is considering a transaction that may involve a conflict and refrain from voting.

Form 990, Part VI, Section B, Line 15

Compensation rate ranges for all positions, including key employees and officers, are benchmarked periodically in the community. When raises are awarded, individual salaries are set within benchmarked rate ranges on an annual basis in line with rate range set annually for the merit raise process. Compensation is set to be reasonable and consistent with fair market value based on the comparables and benchmarks in the region. However, due to budget concerns and restrictions, nominal raises were awarded to staff during fiscal year 2014.

The healthy start house is a facility owned by adagio health, which, provides temporary housing for women and their young children who are homeless or at risk of homelessness. The healthy start house organization was assumed by another non-profit organization during 2014. Program activities substantially ceased at june 30,2013, therefore, there were no expenses associated with the program.

FORM 990, PART I, Revenue

During 2014, adagio re-evaluated the classification of government contracts between program fees and contributions. Adagio considered all fee for service payments on behalf of specified individuals as program revenue and the remaining government payments as contributions. The total amount received for fye 2014 from government agencies was consistent with amounts received in the previous year.

Accounting principles generally accepted in the united states of america require the organization's management to evaluate tax positions taken by the organization and recognize a tax liability (or asset). If the organization has taken an uncertain tax position that more likely than not the position would not be sustained upon examination by a taxing authority, management has analyzed the tax positions taken by the organization and has concluded that, as of june 30, 2014, there are no uncertain tax positions taken or expected to be taken. The organization is subject to routine audits by taxing jurisdictions, however, there are currently no audits for any tax periods in progress. Management believes the organization is no longer subject to income tax examinations for years prior to 2010.
