Governance Explanations

Members or stockholder classes and rights Part VI line 6

Membership is open to any person interstd in the history of the lake tahoe basin who applies for membershi. Nlths offers multiple membership levels based on the amount of voluntary donation given. Members of all levels enjoy the same voting rights within the organization at the annual membership meeting.

Member election for additional members Part VI line 7A

The membership has the ability to nominate one or more candidates for board membership (article vi, section 4) and if there are more candidates than open positions on the board, the membership can vote at the annual meeting (article vi section 6)

Form 990 governing body review Part VI line 11

A pdf copy of form 990 is distributed to board members for review. Each board member is required to confirm via email to the executive director and finance committee chair that they have reviewed the form 990 and the approve. If they have any questions or concerns, these are resolved before they sign off on thier review of the form 990. The email records are kept as confirmation if each members reveiw.

Conflict of interest policy compliance Part VI line 12C

Each director and officer must complete a conflict of interest statement each year for board review. In addition, in connection with any actual or possible conflict of interest, an interested person must disclose the existance of a conflict and be given the oppurtunity to disclose all material facts to the board or executive committee. Any director may recuse himself or herself at any time from any involvement in any discussion or decision in which the director believeds that he or she may have a conflict of intrest. Once the disclosure has beeen made and after any discussion with teh interested person, the interested person shall leave the board or executive committee mmeting and the determination of a conflict of interest nus discussed and vote upon continuted - if appropriate, the chairperson of the board or executive committee shall appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arraingement. If a more advantageous transaction or arraingement is not reasonable possible under circumstances not producing a conflict of interest, the board or executive committee shall determine by a majority vote of the disinteresed directors whether the transaction or arraingment is in the nlthss best interest. In conformity with the above determination, it shall make its decision as to whether to enter into the transaction or arraingement. Continued if the board or executive committee has reasonalbe cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the memner of its basis for such belief and afford the member an oppurtunity to explain the alleged failure to disclose. After hearing the members response, if the board or executive committee determines that the member has failed to disclose, it shall take appropriate disciplinary and corrective action.

The nlths executive committee functions as the compensation committee and determines the level of executive director compensation in closed session. Factors entereing into the decision-making process include the annual performance review, cost of living increase or decrease estimates, and known or estimated compensation levels of individuals in similar postisions in the immediate area.
