Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by an independent accountant. The finance and audit committee reviews the 990 prior to the submission to the full board of trustees. Any questions or concerns raised by the board of trustees can be addressed to the chief financial officer or the treasurer.

Form 990, Part VI, Section B, Line 12C

The secretary to the executive director sends out a conflict of interest policy questionnaire which is signed by each board member and the executive director. The board monitors compliance with the conflict of interest policy by requiring all trustees and officers to annually sign the conflict of interest policy and to disclose any potential conflicts of interest. Any possible conflict of interest is disclosed to the board of trustees by the person concerned, and that person is recused from deliberations, and cannot vote on the matter.

Form 990, Part VI, Section B, Line 15

The school hired a consultant who reviews compensation of officers and key employees, benchmarks these employees compensation against similarly situated organizations and used 990's and other data to obtain meaningful data for comparison. The review was last performed on november 7,2017.

Form 990, Part VI, Section C, Line 19

United nations international school makes its governing documents, conflict of interest policy and financial statements available upon request.
