“Naba has various classes of members, however, only professional members shall have the right to vote.”

“Professional members shall be those persons applying for membership who are certified or licensed by the state or territory of possession of the united states to practice accounting, auditing, or finance or who are actively engaged in public, private, governmental, or academic sectors in the accounting or finance-related areas and who obtained a post-secondary degree from a college or university with a major in accounting, finance, or other business-related field. Professional members in good standing shall have the right to vote on the election of the corporation's officers and directors, and, within their region for regional officers and/or directors, and shall have the right to vote on any amendment to the certificate of incorporation of these bylaws, or any other matter required to be submitted to the members for a vote by law. Each professional member shall be entitled to one vote on each matter presented to the professional members for a vote.”

“Naba engages an external public accounting firm to prepare the federal form 990. The national treasurer and the audit committee review the draft federal form 990 on behalf of the full board of directors. The audit committee approves the final version of the federal form 990 before it is submitted to the internal revenue service.”

“The conflict of interest policy is required to be signed annually by the board of directors. During the year, it is mandatory that any conflict of interest or suspected conflict of interest be brought to the attention of the president & ceo. This process is administered by the national secretary.”

“The organizational effectiveness and personnel committee develops an appropriate salary for the president & ceo. The contract or employment letter is approved by the board of directors and signed by the president & ceo, and the chair of the board. A similar process is undertaken for other officers of naba.”

“Naba makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.”
