“There shall be a board executive committee comprised of the president, vice president, treasurer, secretary, and immediate past president. The executive committee shall be chaired by the president. The role of the executive committee is to routinely monitor ongoing activities and programs of the association; provide initial guidance, and when appropriate, quick response to issues that arise between board meetings; to review, with the chief executive officer, salary ranges and individual salary increases, as appropriate; and to annually review, following solicitation and consideration of written and signed comments from the full board of directors, the chief executive officer's performance; review and negotiate the terms of the chief executive officer's contract; and, execute the contract upon authorization by the board.”

“On july 24, 2025, the membership unanimously voted to approve the proposed bylaws amendment to clarify that service on the board shall be a maximum of nine years (three 3-year terms).”

“Nacwa's federal form 990 is initially reviewed by the chief executive officer and the chief financial officer. It is then reviewed in final draft form by nacwa's audit committee, and then submitted to nacwa's full board of directors for comment before it is filed with the internal revenue service.”

“Consistent with nacwa's conflict of interest policy, board members, officers and key employees must annually complete a statement of disclosure form. Nacwa's audit committee reviews the disclosure forms and makes recommendations to the board of directors on how to resolve any potential conflict of interest disclosed by a board member, officer or key employee. Nacwa's board of directors considers and votes on the audit committee's recommendation. This action is documented in the board of director's meeting minutes.”

“Nacwa uses a salary administration program to develop staff salary ranges based on current salary surveys that reflect the association's industry, size, and location (the salary ranges are updated annually by a third-party consultant). All nacwa staff salary ranges and proposed salary increases are reviewed and endorsed by nacwa's executive committee annually. The terms of the ceo's employment contract are reviewed and negotiated by nacwa's executive committee and executed by the association's president upon authorization by the board of directors. The process described here was last completed in 2025.”
