“The executive board shall excercise between meetings of the board, all the powers of the board of directors, and the management of the business of the corporation, excepting the power to fill vacancies, amend bilaws and such other powers as may be prohibited to the committee by law or by the board. The executive committee shall be responsible for conducting the annual performance reviews and annual salary reviews for paid staff members.”

“One-third of the authorized number of directors shall be elected each year at the annual meeting of directors for terms of three years each, from and after the date of the annual election and until their successors have been elected. Discussions, analysis, and the final decision were documented by the committee. The committee signs the document verifying approval and that the committee was independent and had no conflict of interest. The committee's decision then goes before the full board for final approval. There are no other officers or key employees of the organization therefore making no the appropriate answer for line 15b.”
