Governance Explanations

Form 990, Part VI, Section B, Line 11B

The 990 is reviewed by the board chair and treasurer. The document is available to the full board for review and a summary is provided at a regularly scheduled board meeting.

Form 990, Part VI, Section B, Line 12C

Conflict of interest statements are reviewed and updated at the first full board meeting following the fall annual meeting. This provides the opportunity for new board members to fill out conflict of interest statements and current board members to review their previous statements and update information.

Form 990, Part VI, Section B, Line 15A

The executive director's salary is set by the board. They set the wage level after reviewing a combination of factors, including competitive wage data, the experience level of the executive director, and the overall size of the organization. The competitive analysis included data from 3 sources, including data from the nh center for non-profits, a local non-profit salary study and payscale.com.

Financial Statement Notes

PART II, LINE 3:

Purchased land is recorded at cost; donated land at its fair value at the date of gift. Conservation easements on land, land in which the center has an executory interest and land with deed restrictions are not readily marketable assets of the center, are not recorded in the land account. The associated costs and expenses are reported on the statement of activities.

PART II, LINE 9:

Conservation easements reported in the financial statements: conservation easements on land, land in which the center has an executory interest and land with deed restrictions are not readily marketable assets of the center, are not recorded in the land account. The associated costs and expenses are reported on the statement of activities.

PART V, LINE 4:

Principal to be held in perpetuity according to donors' restrictions. Revenue to be used for exempt operating purposes.

PART X, LINE 2:

The center qualifies as an organization exempt from income tax under section 501(c)(3) of the internal revenue code and is classified as other than a private foundation; however, certain unrelated business income is subject to federal taxation. For the year ended june 30, 2019, there was no liability for a tax on unrelated business income. The center adopted the provision of fasb asc 740, accounting for uncertainty in income taxes. Accordingly, management evaluated the center's tax positions and concluded the center had maintained its tax-exempt status, does not have any significant unrelated business income and had taken no uncertain tax positions that require adjustment or disclosure in the financial statements. With few exceptions, the center is no longer subject to income tax examinations by the u.s. Federal or state tax authorities for tax years before 2016.
