The members elect the officers and most of the members of the board of directors. The affiliate members only elect one board member. The members of the association commercial division elect one director. In addition, two directors are appointed by the president with the approval of the board of directors.

Changes to the bylaws of the association are reserved for realtor members.

Form 990, Part VI, Section B, Line 11B

The form 990 is reviewed by the director of finance and the chief executive officer prior to being approved by the board of directors. After approved by the board of directors, the 990 is filed.

The chief executive officer regularly monitors association activity for conflicts of interest. The board of directors is provided copies of the association's policy manual to assist them in monitoring association activities.

The chief executive officer's compensation is reviewed annually by a committee of the officers and an active past president. Compensation of the chief executive officer is set by the board of directors based on performance. Outside data is gathered when needed.

The organization's board of directors assumes responsibility for oversight of the review of the financial statements and selection of the independent accountant. The process has not changed form prior year.

Financial Statement Notes

PART X, LINE 2:

The internal revenue service issued a determination ruling exempting the association from federal income taxes under section 501(c)(6) of the internal revenue code. The foundation qualifies as an organization exempt from income tax under provision of the internal revenue code 501(c)(3). The pac is not an incorporated entity. The association has addressed the provisions of fasb asc 740, accounting for income taxes. In that regard, the association has evaluated its tax positions, expiring statues of limitations, audits, proposed settlements, changes in tax law and new authoritative rulings and believes that no provision for income taxes is necessary, at this time, to cover any uncertain tax positions.

THESE EVENTS INCLUDED THE ANNUAL MEETING, GENERAL MEMBERSHIP MEETING, INSTALLATION, RPAC AUCTION, GOLF TOURNAMENT, AND REAL ESTATE EXPO.
