“The 990 return is distributed to all members of the governing board prior to a regularly scheduled meeting of the Board of Directors. The return is reviewed and discussed, and approval by a majority of the Board is required prior to the Treasurer filing the final return with the IRS.”

The Board negotiated and executed a contract agreement for a part-time Managing Director position, which included most of the requirements of the Executive Leadership position, except for any fundraising expectation. Both positions were discussed, negotiated and agreed to in contract by a majority of the Board of Directors at a regularly scheduled meeting of the Board.”
